Compliance Services in Saudi Arabia

A Saudi company stays in good standing by keeping its registrations current and filing on time with several authorities: the Ministry of Commerce, MISA, ZATCA, GOSI, the Ministry of Human Resources through Qiwa and Mudad, the passports directorate through Muqeem, and the municipality through Balady. Most of it is online, and most of it is linked, so a lapse on one platform tends to show up as a blocked transaction on another. Below is the calendar we work to, and how Alpha keeps it running for clients.

How we keep a company compliant

Compliance is mostly a calendar problem. The work is knowing every date that applies to your company, and acting before it arrives.

  1. ۰۱

    Check every file

We review the status of your CR, MISA registration, ZATCA account, GOSI file, Qiwa establishment, Muqeem records and municipal license, and list anything already overdue.

  2. ۰۲

    Build one calendar

Your dates depend on your own facts: the CR registration date, the financial year end, the VAT period ZATCA assigned you, and each employee's permit and iqama expiry. We put them in one calendar.

  3. ۰۳

Renew and confirm ahead of time

Annual confirmations, renewals and permit extensions are handled before they fall due, through our PRO service.

    GRO and PRO services
  4. ۰۴

File through accounting, Zakat and payroll

VAT, Zakat and income tax returns, financial statements, GOSI contributions and WPS files are prepared by our accounting, tax and payroll teams from the same records.

The annual compliance calendar

The table covers the obligations most operating companies share. Your exact dates depend on your registration date, financial year and VAT period, and rules change, so check each date against the authority's current guidance before filing.

Two changes since 2025: the CR and the MISA registration

Under the Commercial Registration Law that took effect in 2025, the CR is no longer renewed. Instead, the Ministry of Commerce requires an annual confirmation of the information in the register, due one year from the date of registration and completed online through business.sa. If the confirmation is not submitted within 90 days of its due date, the ministry suspends the registration and the services linked to it.

The MISA license changed in a similar way. Under the Investment Law that took effect in 2025, foreign investors hold an investment registration, which still needs an annual update. MISA's Investor Guide states that the update fee must be paid within 15 business days of notification, or the registration is considered void. Because a foreign-owned company's standing rests on that registration, this is one date that cannot slip.

The monthly layer: payroll, GOSI and Saudization

Once a company has employees, compliance becomes monthly. GOSI contributions are paid for every employee, the wage file is uploaded to Mudad under the Wage Protection System, and the Saudization ratio that sets your Nitaqat band is calculated from your Qiwa records.

Since 15 April 2026, the Ministry of Human Resources calculates Saudization rates from employment contracts documented on Qiwa, so a Saudi employee whose contract is not documented there may not count toward your ratio. The wage figures in GOSI, Qiwa and the WPS file should also match. The platforms compare them, and a mismatch is the employer's problem.

E-invoicing: part of VAT compliance

ZATCA's e-invoicing rules (FATOORA) apply to everyone subject to VAT, except non-resident taxable persons. Phase 1 has applied since 4 December 2021: invoices must be generated by a compliant electronic system, and manual invoices no longer count as compliant tax invoices. Phase 2, integration with ZATCA's platform, has rolled out in waves since 1 January 2023, and ZATCA notifies each taxpayer of its integration date at least six months in advance.

For a new company, the practical step is to choose an invoicing system that meets the requirements before the first invoice. Replacing one later is slower than choosing correctly at the start.

What happens when something lapses

Lapses are rarely announced. The first sign is usually a blocked transaction, often on a platform that seems unrelated. These are the knock-on effects to know about:

  • An unconfirmed CR is suspended 90 days after the due date, along with the services linked to it
  • An unpaid MISA update fee voids the investment registration
  • Balady will not renew a municipal license unless the CR is valid
  • A Red Nitaqat band blocks new work visas and transfers and restricts renewals
  • GOSI arrears surface in visa and tender processes
  • Late tax returns and payments attract penalties under ZATCA's rules

How Alpha keeps companies compliant

We combine three services around one calendar. Our PRO team handles confirmations, renewals and permits on the government platforms. Our accounting and Zakat and tax services keep the books, prepare VAT, Zakat and income tax returns, and get financial statements ready for filing. Our payroll service runs GOSI and WPS each month. If files have already lapsed, we start with a catch-up of prior periods and bring each file current.

We work on the official platforms under the access and authorization you grant. We are not a government body, and we have no special access. Our team is based in Jeddah, speaks Arabic, English, Hindi, Urdu and French, and is reachable by phone, WhatsApp or email, Sunday to Thursday, 9:00 to 18:00 KSA time.

اکثر پوچھے جانے والے سوالات

What are the annual compliance requirements for a company in Saudi Arabia?
The core annual items are the CR data confirmation, the MISA registration update for foreign-owned companies, the Zakat or corporate income tax return within 120 days of year end, and financial statements filed on Qawaem within six months of year end. On top of that sit VAT returns (monthly or quarterly), monthly GOSI and WPS, Saudization on Qiwa, and renewals of permits, iqamas and the municipal license.
Does a Saudi CR still need to be renewed every year?
No. Under the Commercial Registration Law that took effect in 2025, the CR no longer needs renewal, but its data must be confirmed every year through business.sa. If the confirmation is more than 90 days late, the Ministry of Commerce suspends the CR and its linked services.
Do I need to renew my MISA license every year?
The MISA license is now an investment registration, and it needs an annual update. MISA's Investor Guide states that the update fee must be paid within 15 business days of notification, or the registration is considered void.
How often do companies file VAT returns in Saudi Arabia?
Monthly if annual taxable supplies exceed SAR 40 million, otherwise quarterly. Each return is due by the last day of the month after the period ends.
When is the Zakat return due in Saudi Arabia?
Within 120 days of the end of the financial year. For a 31 December year end, the deadline falls at the end of April. The corporate income tax return for foreign-owned shares has the same deadline.
Do all companies have to file financial statements?
Yes. The Ministry of Commerce requires every type of company to file its financial statements on the Qawaem platform within six months of the end of the financial year.
Is e-invoicing mandatory in Saudi Arabia?
Yes, for everyone subject to VAT except non-resident taxable persons. Invoices must be generated by a compliant electronic system, and Phase 2 integration with ZATCA applies from the date ZATCA notifies your company.
What happens if a company misses a compliance deadline?
It depends on the obligation. Some lapses suspend services automatically, such as a CR left unconfirmed for 90 days after the due date. Others bring penalties under the relevant authority's rules, or block visas, renewals and transfers on linked platforms.
How much do compliance services cost in Saudi Arabia?
It depends on which services you need, your headcount, your transaction volume and whether prior periods need catch-up work. Government fees are separate. Book a consultation through our contact page and we will scope it from your actual calendar.
