Restaurant Company Setup in Saudi Arabia
A foreign investor can own a Saudi restaurant or café company outright under a MISA license, and the company is typically set up in 4–12 weeks. The work that decides your opening date happens at outlet level: each location needs a Balady municipal license issued with a Civil Defense safety permit, and every food-handling worker needs a health certificate. This page covers both layers.

How to open a restaurant company in Saudi Arabia
The company is formed once. The municipal license, safety permit and staff certificates repeat for every outlet, so the site you choose shapes the timeline more than the paperwork does.
- ۰۱
Define the concept in licensable activities
Dine-in, takeaway, café, bakery, catering and food trucks are separate activities. Selling packaged products at retail is a trading activity on top. List everything the business will do before filing, because the license, the CR and each municipal license must all match.

Prepare the shareholder documents
MISA asks for the foreign shareholder's commercial registration and latest financial statements, attested and translated into Arabic. Holders of Saudi Premium Residency (the special residency permit) are exempt from those document requirements.

Obtain the MISA license and the CR
A complete MISA application is typically approved in 2–6 weeks. The trade name, Articles of Association and Commercial Registration follow, usually within 1–2 weeks when documents are in order.

Secure premises that will pass the municipal license
Sign the lease only once the unit suits a restaurant. The Balady application needs a lease or ownership deed, a copy of the building permit, and a photo of the shopfront showing the signboard. A sanitation contract is needed for some activities and contract types.
Finding and leasing commercial premises - ۰۵
Apply for the Balady license and Civil Defense permit
The commercial license is issued on Balady together with a safety permit from the General Directorate of Civil Defense. Some activities qualify for an instant license on submission of a safety equipment invoice or a Civil Defense safety report. Others go to the municipality for review.
- ۰۶
Register for tax and labor, then hire
Activate ZATCA, GOSI, Qiwa, Mudad and Muqeem, and plan headcount around your Saudization ratio. Once VAT-registered, your invoices must meet ZATCA e-invoicing rules, so choose a point-of-sale system that supports them before you open.
- ۰۷
Issue health certificates for every food worker
Each worker's certificate is requested on Balady by the worker or the establishment. The municipality checks the business license and the worker's profession, the worker has a medical examination through the Ministry of Health, and completes a health education program where the city applies one.
Work visas for kitchen and service staff
Ownership and license type for restaurants
MISA classifies activities using the ISIC4 system, under which restaurants and cafés are food and beverage service activities. That makes the MISA registration a service registration, paired with a Ministry of Commerce commercial license. Foreign ownership of up to 100% is available, and no Saudi partner is required.
Older guides online describe extra conditions for foreign-owned restaurants under the previous regime. MISA's current investor guide (12th edition, April 2025) sets special capital or Saudi-participation conditions for a short list of activities, and food service is not among them. MISA updates the guide, so we confirm the position for your activity codes before filing.
Trading is the exception that catches F&B concepts. A café that also sells coffee beans, packaged sweets or branded merchandise at retail is adding a trading activity. Under the same guide, a wholly foreign-owned commercial company needs minimum capital of SAR 30 million and presence in at least three regional or global markets. Keep retail out of the license unless the business case justifies that route.
Permits for each outlet
Company-level approvals are done once. The approvals below are tied to a location or to a person, so they repeat as you open outlets and hire staff. The municipal license is the one that most often moves an opening date, because it depends on the premises.
| Approval | Issued through | Applies to |
|---|---|---|
| Commercial (municipal) license | Balady, Ministry of Municipalities and Housing | Each restaurant, café or kiosk location |
| Safety permit | General Directorate of Civil Defense, issued with the Balady license | Each location |
| Health certificate | Balady, after a Ministry of Health medical exam | Each worker in a food establishment |
| Mobile cart license | Balady commercial license service | Each food truck or cart |
| Factory, warehouse or distribution license | SFDA, on the Ghad platform | Food production, storage or distribution sites |
When the SFDA is involved
A restaurant that buys ingredients from licensed suppliers and cooks for its own guests deals mainly with the municipality. The Saudi Food and Drug Authority licenses food factories, warehouses and distribution centers through its Ghad platform, and registers imported food before clearance.
That line matters for growing brands. A central production kitchen supplying several outlets, a food store for bulk stock, or direct imports of ingredients can each bring the SFDA in. Decide how you will supply your outlets before you design the first kitchen, because the classification changes the premises requirements.
Staffing, Saudization and visas
Restaurants are labor-intensive, so the Saudization ratio shapes the business plan as much as rent does. Every employer is classified under Nitaqat, and the band governs your ability to issue work visas and renew iqamas.
Specific decisions apply on top. A Ministry of Human Resources decision on commercial complexes sets Saudization at 40% for restaurant activities and 50% for café shops inside malls, and where another decision sets a different percentage, the higher one applies. Check the rules for your exact location before you sign a mall lease.
Structure and ongoing obligations
A limited liability company is the usual vehicle. One LLC can run several outlets, with a municipal license for each location. Groups planning to raise capital or bring in investors per brand sometimes use a Simplified Joint Stock Company instead.
After opening, the calendar includes the annual MISA registration update, the annual Commercial Registration confirmation, Chamber membership, municipal license and health certificate renewals, VAT returns at 15% once you pass the SAR 375,000 registration threshold, monthly GOSI contributions, and annual audited statements with the Zakat or income tax return.
Mistakes that delay openings
Most of these are decided before the first lease is signed.
- Signing a lease before checking that the unit can carry a restaurant license and pass Civil Defense requirements.
- Adding retail sales to the license casually, which turns a service company into a trading company with far higher MISA conditions.
- Hiring before health certificates are planned. Staff cannot handle food without one.
- Signing a mall lease without modelling the 40% or 50% Saudization ratio into the staffing plan.
- Building a central kitchen without checking whether it falls under SFDA factory or warehouse licensing.
- Treating the municipal license as one-off. Each new outlet repeats it.

اکثر پوچھے جانے والے سوالات
- Can a foreigner open a restaurant in Saudi Arabia?
- Yes. A foreign investor can own up to 100% of a Saudi restaurant or café company under a MISA license, with no Saudi partner. MISA's current investor guide does not list food service among the activities with special capital or Saudi-participation conditions. Retail sales of packaged goods are a separate trading activity with much higher conditions.
- Do I need a Saudi partner to open a café in Saudi Arabia?
- No. A café is a food and beverage service activity, and the wholly foreign-owned route is available under a MISA license. A partner only makes sense if they bring sites, operating experience or capital you need.
- What licenses do I need to open a restaurant in Saudi Arabia?
- At company level: a MISA license if foreign-owned, a Commercial Registration, and tax and labor registrations. At outlet level: a Balady commercial license issued with a Civil Defense safety permit, plus a health certificate for every food worker. SFDA licensing applies if you run a food factory, warehouse or distribution center.
- What is a Balady license for a restaurant?
- It is the municipal commercial license for a specific location, issued online through Balady by the Ministry of Municipalities and Housing together with a Civil Defense safety permit. The application needs a lease or deed, a copy of the building permit and a photo of the shopfront with its signboard.
- Do restaurant staff need health certificates in Saudi Arabia?
- Yes. Workers in food establishments need a health certificate issued through Balady. The worker has a medical examination through the Ministry of Health and completes a health education program where the city applies one, and the certificate is then issued electronically.
- Does a restaurant need SFDA approval in Saudi Arabia?
- A restaurant cooking for its own guests is licensed mainly by the municipality. The SFDA licenses food factories, warehouses and distribution centers and registers imported food, so a central production kitchen, a bulk food store or direct ingredient imports can bring it in.
- What are the Saudization rules for restaurants and cafés?
- Every employer falls under Nitaqat, which sets a minimum share of Saudi staff by sector and size. Inside shopping malls, a Ministry of Human Resources decision sets 40% for restaurant activities and 50% for café shops, and the higher percentage applies where decisions overlap.
- Can I open a food truck in Saudi Arabia?
- Yes. Food trucks and carts are licensed through the same Balady commercial license service, using mobile cart details instead of a shop. The company, staff health certificates and tax registrations work the same way as for a restaurant.
- How long does it take to open a restaurant in Saudi Arabia?
- The company takes 4–12 weeks end to end, including a MISA license of typically 2–6 weeks. The municipal license is indicatively 7 to 21 business days once premises are ready. Fit-out and staff certificates usually decide the opening date.
