Company Setup in Saudi Arabia for Indians
Yes, an Indian company or Indian national can own 100% of a Saudi company in most activities, under a MISA investment registration and with no Saudi sponsor. Since Saudi Arabia joined the Apostille Convention in December 2022, Indian documents are legalized with an apostille from India's Ministry of External Affairs rather than the old embassy chain. The decision that shapes everything else is who holds the shares: your Indian company, or you.

How an Indian founder or company sets up in Saudi Arabia
The Saudi side is the same for every foreign investor. What is specific to India is the shareholder decision, the overseas investment rules at home, and how Indian documents are legalized. Start those first.
- ۰۱
Confirm the activity and the shareholder
Check that your activity is open to full foreign ownership, then decide whether your Indian company or you personally will hold the shares. That choice fixes the document list.

Clear the India side of the investment
An Indian company or resident individual investing in a foreign entity does so under India's Overseas Investment Rules and Regulations, 2022, issued under FEMA, and remits through an authorized dealer bank. Your chartered accountant and bank handle this, alongside the Saudi file.
- ۰۳
Apostille the documents in India
Commercial documents are authenticated by a designated Chamber of Commerce, personal and educational documents by the state authentication authority, and MEA then adds the apostille. MEA accepts documents through its authorized outsourced agencies, not over the counter.
Document attestation service - ۰۴
Translate into Arabic
MISA says documents filed with it do not need translating, but other ministries may require it, and the Articles of Association are drafted and notarized in Arabic. Certified translation runs in parallel with the apostille.

Register with MISA
The application is filed on MISA's online portal. Its implementing regulations set a decision within 10 working days of a complete file; with preparation and queries, the MISA stage typically takes 2 to 6 weeks.

Incorporate and activate the platforms
Reserve the trade name, notarize the Articles of Association and issue the Commercial Registration. Then register the national address and Chamber membership and activate ZATCA, GOSI, Qiwa, Mudad and Muqeem.

Open the bank account and issue the general manager's visa
Banks look through to the ultimate owners, so the Indian parent's ownership documents go into the bank file too. Account opening typically takes 2 to 4 weeks.

Legalizing Indian documents: the apostille route
India has been a party to the Hague Apostille Convention since 2005, and the Convention entered into force for Saudi Arabia on 7 December 2022. Between member states, a single apostille from the issuing country replaces the chain of embassy legalization for public documents.
In India the apostille is issued by the Ministry of External Affairs, which legalizes a document on the signature of a designated authority it already recognizes. MEA does not accept documents directly from individuals; they go in and come back through its authorized outsourced agencies. The authentication before MEA depends on the document:
- Commercial documents, such as the certificate of incorporation, memorandum and articles, board resolutions and financial statements: a designated Chamber of Commerce
- Personal documents, such as powers of attorney and affidavits, and educational certificates: the state government or union territory authentication authority
- Documents whose issuer is connected to MEA's digital system: the e-Sanad portal, online
Before anything goes to MEA
MISA's Investor Guide still describes the foreign company's registration and financial statements as certified by the Saudi embassy. Saudi Arabia's accession means apostilled Indian public documents should not need embassy legalization as well, but we confirm with each receiving authority which form it accepts before you send anything for processing in India. Attestation is the most common source of delay in Saudi formation, so the route is worth settling before the first document moves.
Plan for certified Arabic translation in parallel. Check that names, passport numbers and the company name are spelled the same way across the incorporation certificate, the board resolution and the power of attorney before translation starts, because a mismatch between documents invites queries from the receiving authority.
If you already live in Saudi Arabia
Many Indian founders start from inside the Kingdom, on an employer-sponsored iqama. Ownership has to be in your own name, through MISA. Running a business through a Saudi national's name or commercial registration is commercial concealment under the Anti-Commercial Concealment Law. The Ministry of Commerce runs a national inspection program, and the penalties include imprisonment, fines and deportation of the non-Saudis involved.
Your current job and your new company also interact. MISA's entrepreneur category asks an applicant employed in the Kingdom for a no-objection letter from the employer, and your residency, your role and the company's general manager position need to be planned together. We map this at the first consultation, before anything is filed.
Tax, and the India-Saudi context
India and Saudi Arabia have a comprehensive double taxation avoidance agreement, signed and in force since 2006. On the Saudi side, corporate income tax is 20% on the foreign-held share of profit, VAT is 15% with registration mandatory above SAR 375,000 in annual taxable supplies, and withholding tax of 5 to 20% applies to certain payments to non-residents. How this interacts with your Indian tax position is a question for your Indian tax adviser.
The commercial ties are deep. India's Ministry of External Affairs, in its May 2026 bilateral brief, describes India as Saudi Arabia's second-largest trade partner and Saudi Arabia as India's fifth-largest, with bilateral trade of USD 41.88 billion in FY 2024-25. The two countries signed a Strategic Partnership Council agreement in 2019, and the Indian community in the Kingdom numbers about 2.74 million.

اکثر پوچھے جانے والے سوالات
- Can an Indian open a company in Saudi Arabia?
- Yes. Indian companies and Indian nationals can set up a Saudi company under a MISA investment registration, with 100% foreign ownership in most activities and no Saudi sponsor. Most Indian businesses register with their Indian company as the shareholder. For individuals, MISA's published guidance names Premium Residency and the entrepreneur category as the routes.
- Can an Indian own 100% of a business in Saudi Arabia?
- Yes, in most sectors. Foreign investors can own 100% of a Saudi company under a MISA investment registration. A short negative list of activities carries restrictions or capital conditions, and wholly foreign-owned trading carries a much higher capital commitment, so we confirm your activity before filing.
- Do Indians need a Saudi sponsor to start a business in Saudi Arabia?
- No. The sponsor model does not apply to MISA-registered companies. Running a business under a Saudi national's name is commercial concealment, which is illegal; the lawful route is your own MISA registration.
- Does Saudi Arabia accept apostilled documents from India?
- Both countries are parties to the Apostille Convention, which entered into force for Saudi Arabia on 7 December 2022, so an MEA apostille replaces embassy legalization for public documents. MISA's guide still refers to embassy certification, so we confirm the accepted form with each authority before you start. Certified Arabic translation is still needed for most filings outside MISA.
- Which documents does an Indian company need for a MISA registration?
- Typically the certificate of incorporation, the memorandum and articles, audited financial statements for the last fiscal year, a board resolution approving the investment and appointing a signatory, and a power of attorney. Each is authenticated in India, apostilled by MEA and translated into Arabic.
- Can an Indian working in Saudi Arabia on an iqama start a business?
- Ownership must be in your own name under MISA, never through a Saudi national's name. If you apply under MISA's entrepreneur category while employed in the Kingdom, MISA asks for a no-objection letter from your employer. Your residency and your role in the new company need to be planned together.
- How long does company setup take for an Indian investor?
- The MISA stage typically takes 2 to 6 weeks for a complete application, and the full sequence through to a bank account is typically 4 to 12 weeks. The apostille in India and bank onboarding are the usual variables.
- How much does it cost an Indian to set up a company in Saudi Arabia?
- The Saudi-side costs are the same as for any foreign investor and depend on the license type, legal form, premises and headcount. India-side costs, such as apostille and your chartered accountant's work, sit on top. Our cost estimator gives a line-by-line starting point, and a consultation turns it into a scoped quote.
- Is there a double tax treaty between India and Saudi Arabia?
- Yes. India and Saudi Arabia have a comprehensive double taxation avoidance agreement, signed and in force since 2006. How it applies to your income is a question for your tax adviser.
