Company Formation Cost in Saudi Arabia
For a standard service-licensed LLC with a foreign corporate shareholder, government and document costs alone typically land in the SAR 70,000 to 80,000 range in the first year, before premises and professional fees. Most of that is the MISA annual subscription, which recurs every year. The figures are indicative, and your activity, shareholder, structure, premises and headcount decide where you actually land. This page shows how each choice moves the budget.

Build your budget in six decisions
Each decision below changes a line in the budget. Make them in this order, because the early ones fix the cost of the later ones.
- ۰۱
Classify the activity
Your activity codes set the license type, and the license type sets the MISA subscription. Service and trading licenses carry the higher subscription; industrial and regional headquarters licenses carry promotional pricing. Classify from what the business will actually do. A cheaper classification that does not match the business means amending the license later.

Decide who holds the shares
A foreign corporate shareholder needs its registration, articles and financial statements legalized and translated; an individual carries less. MISA's Investor Guide exempts Premium Residency holders from submitting the commercial registration and financial statements.
Document attestation service - ۰۳
Choose the legal form
An LLC is the default. A branch avoids a new shareholder structure but leaves the parent liable. A regional headquarters runs cheaper on the license line but sits alongside an operating entity. Trading through a wholly foreign-owned company carries a SAR 30 million capital requirement with multi-year investment undertakings.
Compare company structures - ۰۴
Pick the premises
Every company needs a national address from day one, but most activities do not need a leased office at incorporation. Most entrants start on a virtual or serviced address and move once hiring justifies it. Some licenses and Saudization tiers require demonstrable premises.
- ۰۵
Plan the first hires
The general manager's work visa and iqama sit on the critical path, and every further hire adds a visa, iqama and payroll line. Saudization quotas scale with headcount, so payroll belongs in the budget from the start.
Visa issuance service - ۰۶
Price the years after the first
The MISA subscription, Commercial Registration, Chamber of Commerce membership and municipality license all renew, and accounting, audit and Zakat filing recur. Compare quotes on what year two costs.

What moves the cost up or down
Two companies formed the same month can have very different budgets. The difference rarely comes from formation fees. It comes from the license type, the ownership route, who the shareholder is, and how much premises and staff the company carries from day one.
The ranges below come from our published guides and are for budgeting, not quotation. Government fees move with policy, and your activity can change the classification, so verify the current schedule before you commit a budget.
| Choice | Lower-cost end | Higher-cost end |
|---|---|---|
| License type | Industrial or RHQ: indicatively SAR 10,000 a year subscription | Service or trading: indicatively SAR 60,000 a year subscription |
| Trading ownership route | Structure with a Saudi partner, at conventional capital levels | Wholly foreign-owned trading: SAR 30 million capital plus investment undertakings |
| Shareholder | Individual: fewer documents to legalize | Foreign company: typically SAR 4,000 to 8,000 in attestation, translation and powers of attorney |
| Premises | Virtual or serviced address: SAR 8,000 to 30,000 a year | Leased office: SAR 150 to 500 per m² a year |
| Headcount | General manager only in year one | SAR 5,000 to 10,000 per employee a year for work visa and iqama |
| Regulation | Standard service activity | Regulated activity needing sector approvals |
One-off fees versus every year
The one-off lines are modest. The recurring lines are what the company lives with, and they are the ones most often missing from a quote. A first-year quote that looks far cheaper than the market is usually quoting one-off fees against other firms' first-year totals.
MISA's Investor Guide adds a timing point worth planning for: the registration fee is set by the ministry when it approves the application, and it must be paid within 15 business days of the notice or the registration is void.
| Cost line | Indicative amount (SAR) | How often |
|---|---|---|
| MISA application and registration | 2,000 | One-off |
| MISA subscription | Varies by license type | Every year |
| Name reservation, Articles of Association and CR issuance | 3,000 to 8,000 | One-off; CR renews annually |
| Chamber of Commerce membership | 2,000 to 6,000 | Every year |
| Certified translation and attestation | 2,000 to 8,000 | One-off |
| Virtual or serviced address | 8,000 to 30,000 | Every year |
| Accounting, audit and Zakat filing | 10,000 to 30,000 | Every year |
| Work visa and iqama | 5,000 to 10,000 | Per employee, per year |
| Formation advisory | Scoped per engagement | One-off |
How the structure changes the budget
The legal form decides which documents you legalize, which license line you pay, and what you have to run every year. Choose it on liability and on the contracts you want to win, then price it.
- LLC: the default. One shareholder minimum, no statutory minimum capital for most service activities, and the cost profile in the tables above.
- Branch: no new Saudi shareholder structure, but the parent carries the branch's obligations in full, and the parent's incorporation documents, articles, board resolution, financial statements and power of attorney all need legalizing.
- Regional headquarters: runs materially cheaper on the license line and carries 30-year incentives, including 0% corporate income tax on RHQ activities. It runs alongside your operating entity, so budget for both.
- Entrepreneur registration: a reduced subscription tied to endorsement. MISA's Investor Guide asks for a letter of support or project approval from a Saudi university or accredited business incubator.
How to compare formation quotes
Quotes are hard to compare because each firm draws the boundary of its scope in a different place. Ask every firm the same questions, in writing.
- Is the MISA subscription included, and for which license type?
- Are government fees shown separately from professional fees?
- Which lines recur, and what does the second year cost?
- Is attestation in the shareholder's home country included, or only the Saudi side?
- Are the general manager's visa and iqama and the bank account in scope?
- Does the quote assume a virtual address, and does your license allow one?
What it costs to stay registered
A Saudi company is not a one-time filing. The recurring obligations are the MISA subscription and the annual update of the declarations signed at registration, the Commercial Registration, Chamber of Commerce membership, the municipality license, VAT returns on the schedule ZATCA assigns you, the annual Zakat or income tax filing with audited financial statements, and monthly GOSI contributions.
Tax is not a formation cost, but it belongs in the same plan. Corporate income tax is 20% on the share of profits attributable to foreign shareholders, while Saudi and GCC shareholdings pay Zakat at 2.5%. VAT is 15%, with registration mandatory above SAR 375,000 in annual taxable supplies.

اکثر پوچھے جانے والے سوالات
- How much does it cost to set up a company in Saudi Arabia?
- For a standard service-licensed LLC with a foreign corporate shareholder, government and document costs alone typically land in the SAR 70,000 to 80,000 range in the first year, before premises and professional fees. The MISA subscription is most of that. Industrial and RHQ entities run materially cheaper on the license line, while trading and regulated activities cost more. Our cost estimator gives a line-by-line version for your case.
- How much is the MISA license fee?
- The application and registration fee is SAR 2,000 one-off. The real cost is the annual subscription: indicatively SAR 60,000 a year for service and trading licenses, and around SAR 10,000 for industrial and regional headquarters licenses. These figures are indicative and should be verified against the current fee schedule.
- Is the MISA fee paid every year?
- Yes. The subscription recurs every year the license is held, and the license must stay current for the company to remain validly foreign-owned. MISA's implementing regulations also require an annual update of the declarations signed at registration.
- What is the cheapest way to open a company in Saudi Arabia?
- Start by matching the license to your real activity: industrial, RHQ and endorsed entrepreneur registrations carry lower subscriptions, but only if your business fits them. After that, a serviced address instead of a lease and a lean first-year headcount keep the recurring lines down. A classification chosen for price rather than fit costs more when the license has to be amended.
- Is there a minimum capital requirement in Saudi Arabia?
- For most service and industrial activities there is no statutory minimum capital for an LLC. Wholly foreign-owned trading carries a SAR 30 million capital requirement together with multi-year investment undertakings, and some regulated sectors set their own thresholds.
- Do I need an office to register a company in Saudi Arabia?
- You need a compliant national address from day one, but not a leased office for most activities. A virtual or serviced address typically costs SAR 8,000 to 30,000 a year, against SAR 150 to 500 per m² a year for a leased office. Some licenses and Saudization tiers require demonstrable premises.
- What are the annual costs of running a company in Saudi Arabia?
- The MISA subscription, CR renewal, Chamber of Commerce membership and municipality license, plus accounting, audit and Zakat filing at typically SAR 10,000 to 30,000 a year. Each employee's work visa and iqama typically adds SAR 5,000 to 10,000 a year, with payroll, GOSI and premises on top.
- Is a branch cheaper than an LLC in Saudi Arabia?
- Not necessarily. Both need a MISA registration and a Commercial Registration, and a branch needs the parent's documents legalized just as a corporate shareholder of an LLC does. The real difference is liability: the parent carries a branch's obligations in full. Choose on liability and tender strategy, then price the option you choose.
- How much does document attestation cost for a Saudi company?
- For a foreign corporate shareholder, attestation, certified Arabic translation and powers of attorney typically cost SAR 4,000 to 8,000, and less for an individual. Most of that work happens in the shareholder's home country, which is also where the delays usually come from, so it starts first.
