Business Setup in Jeddah: Company Formation on the Red Sea

Jeddah is the Kingdom's commercial gateway on the Red Sea and its second-largest business city by registrations. Foreign investors can own 100% of a Jeddah company in most activities under a MISA license, with no Saudi partner, and the full setup typically takes 4–12 weeks. Alpha's office is in Jeddah, so the steps that need a person, from signing documents to viewing premises, happen in the same city as your company.

How to set up a company in Jeddah, step by step

The route is national, but many Jeddah companies import, trade or serve the visitor economy of the west coast. That puts activity codes, customs and premises at the top of the list of early decisions.

  1. ۰۱

Map your full business model to licensed activities

Your activities decide your MISA license type and capital commitments. Jeddah businesses often combine trading with services, for example importing equipment and then maintaining it. Trading carries higher capital commitments than services, and every activity has to be declared and licensed, so map the whole model before anything is filed.

  2. ۰۲

    Attest and translate your documents

Corporate documents issued abroad need apostille or embassy legalization and a certified Arabic translation before any Saudi authority will accept them. Start this first: it is the most common source of delay, and it runs on other institutions' schedules.

  3. ۰۳

    Obtain the MISA investment license

The application is filed online with the Ministry of Investment and a complete file is typically approved within 2–6 weeks. The license defines your permitted activities and renews annually.

  4. ۰۴

Register the company with the Ministry of Commerce

Name reservation, the Articles of Association and the Commercial Registration follow through the Saudi Business Center platform, with your Jeddah head office as the registered address. From MISA license to CR is typically 1–2 weeks when documents are in order. Jeddah Chamber membership comes next.

  5. ۰۵

Add customs, tax and labor registrations

If you import or export, customs registration is separate from the commercial license and should run in parallel. Every company also registers with ZATCA for tax and VAT, GOSI, Qiwa, Mudad and Muqeem, and needs a municipality (Balady) license for each premises it operates from.

  6. ۰۶

Open the bank account and issue the GM visa

Banks require the CR, the MISA license and the general manager's iqama or an in-person visit, which in practice takes 2–4 weeks. The GM's work visa and iqama are issued in parallel so the company has a resident signatory. At that point you can trade.

Why companies choose Jeddah

Jeddah grew as the port of Makkah, and its economy still runs on the movement of goods and people. Jeddah Islamic Port is the Kingdom's main Red Sea port, King Abdulaziz International Airport is the main air gateway for pilgrims travelling to Makkah, and the Haramain high-speed railway links the city to Makkah and Madinah.

The register reflects this. Relative to its size, Jeddah has an above-average share of wholesale traders, food wholesalers, logistics and customs firms, medical equipment suppliers and travel agencies. After Riyadh, it is also where the largest number of foreign company branches are registered.

Companies pick Jeddah when their goods, suppliers or customers come through the west coast: importers and distributors, food and hospitality businesses, healthcare suppliers, and service firms working for clients across the Makkah and Madinah regions. Jeddah is also one of the host cities of the 2034 FIFA World Cup.

Trading and importing through Jeddah

A foreign-owned trading company needs three things: a MISA license, a commercial trade license from the Ministry of Commerce, and customs registration for any import or export. Most trading activities allow 100% foreign ownership, but they carry higher capital commitments than services and some categories remain restricted, so confirm the activity before you plan the capital.

If you will hold stock, plan the warehouse early. The municipality license follows each physical location and activity, so an office and a warehouse are licensed separately. Online sellers also need to be ready for ZATCA e-invoicing from the day they start invoicing.

For companies that make or process goods, two other options sit close to Jeddah. MODON, the Saudi Authority for Industrial Cities and Technology Zones, runs industrial cities in Jeddah. North of the city, King Abdullah Economic City became one of the special economic zones launched in 2023, with a focus on advanced manufacturing and logistics. A zone brings different tax and customs terms but carries conditions on what you may sell into the domestic market, so it suits re-export models more than local distribution.

Healthcare, food and professional services

A large part of Jeddah's economy serves residents and visitors across the west of the Kingdom: healthcare, food, hospitality, retail and the professional firms that support them. Many of these activities need a sector approval on top of the commercial license. Healthcare, education, legal, accounting and engineering services are the common examples, and food importers and manufacturers also deal with the Saudi Food and Drug Authority (SFDA).

The order of work matters. Choosing activity codes that do not match what the business will actually do is one of the most common causes of delay, because the mismatch surfaces later at the CR or municipality stage and means amending the license. We confirm sector approvals for your exact activity before the MISA application goes in.

What it costs to set up in Jeddah

Government fees for the MISA license and the Commercial Registration are set nationally, so formation costs in Jeddah are broadly the same as in Riyadh or Dammam. The first-year total depends mostly on the activity, the shareholder type and the MISA subscription; our company formation cost guide breaks it down line by line. Trading licenses and regulated activities cost more.

The Jeddah-specific variables are premises, especially warehouse space for traders, and the capital commitments attached to trading activities. Recurring costs, including the MISA subscription, Chamber membership and accounting, are the figure to plan around.

A business formation service based in Jeddah

Alpha's office is at Salama Tower in Al Salamah District, Jeddah. For Jeddah clients, the parts of setup that need a person can happen face to face: reviewing the Articles of Association, viewing premises, preparing the general manager for the bank meeting, and resolving document questions without a courier in between.

The government filings themselves are online, through MISA, the Saudi Business Center, ZATCA, GOSI and Qiwa, so being local does not change the official timeline. It changes how quickly questions get answered and documents move. The team works in Arabic, English, Hindi, Urdu and French, Sunday to Thursday, 9:00 to 18:00, by phone, WhatsApp, email or in person.

اکثر پوچھے جانے والے سوالات

How much does it cost to set up a company in Jeddah?
Formation fees are set nationally, so the cost is broadly the same as elsewhere in the Kingdom. The first-year total depends on the activity, the shareholder type and the MISA subscription, and trading or regulated activities cost more. Use the cost calculator for a line-by-line figure for your activity.
How long does company formation take in Jeddah?
The MISA license typically takes 2–6 weeks from a complete application. The full sequence, including commercial registration, government platforms and the bank account, typically takes 4–12 weeks end to end. Document attestation abroad and bank onboarding are the usual variables.
Can a foreigner own 100% of a company in Jeddah?
Yes, in most activities. A MISA investment license lets a foreign investor own the whole company with no Saudi partner or sponsor. A short list of activities carries restrictions or capital conditions, which we confirm for your activity before filing.
Can a foreign investor open a trading company in Jeddah?
Yes, for most trading activities under a MISA license, with higher capital commitments than a service company and some categories still restricted. Importing or exporting also needs customs registration, which is separate from the commercial trade license. We file both as one engagement.
Do I need an office in Jeddah to register a company?
You need a compliant national address from day one, but a leased office is not required at incorporation for most activities. Many companies start on a serviced address and lease space as they hire. Traders holding stock will need licensed warehouse premises before they operate.
Is there a special economic zone near Jeddah?
King Abdullah Economic City, north of Jeddah in the Makkah region, is one of the special economic zones launched in 2023, focused on advanced manufacturing and logistics. Zones suit companies that make, process or re-export goods. For a service business or a distributor selling to Saudi customers, a standard mainland company is usually the better choice.
Can I set up a company in Jeddah without living in Saudi Arabia?
Yes. Incorporation can be completed remotely under a power of attorney. The company does need a resident general manager for the bank account and day-to-day platform approvals, so most clients issue the GM visa as part of the setup.
Why use a business formation service based in Jeddah?
The filings are online, so the platforms work the same wherever your consultant sits. A Jeddah-based team adds what the platforms cannot: in-person meetings, help with premises, and someone in the city when a bank or office visit is needed. Alpha's office is at Salama Tower in Al Salamah District.
