VAT Registration in Saudi Arabia

A business resident in Saudi Arabia must register for VAT with ZATCA once its taxable supplies over the past 12 months exceed SAR 375,000, or are expected to in the next 12 months. It then has 30 days from the end of that month to apply. From SAR 187,500, registration is voluntary, and the standard rate is 15%. We work out whether and when you need to register, file the application with ZATCA under your authorization, and set up the returns and e-invoicing that follow.

How VAT registration works

Registration itself is an online application. Most of the work is getting the threshold test and the effective date right, because both decide when you start charging VAT.

  1. ۰۱

Test the threshold at every month end

ZATCA's rules require an unregistered resident business to total its taxable supplies in the Kingdom for the past 12 months at the end of each month, and to estimate the next 12 months. Exempt supplies, supplies outside the scope of VAT, and the sale of capital assets used in the business are left out of the total.

  2. ۰۲

    Decide: mandatory or voluntary

Above SAR 375,000, past or expected, registration is mandatory. From SAR 187,500 in supplies or expenses, it is optional. A business whose supplies are all zero-rated does not have to register but may choose to.

  3. ۰۳

    Prepare the application data

The application asks for the company's official name, address, email, commercial registration number, any existing ZATCA identification number, the value of annual supplies or expenses, and the effective date you are asking for. ZATCA can ask for supporting documents and must allow at least 20 days to provide them.

  4. ۰۴

    File with ZATCA

We submit the application through your company's ZATCA account, under the access you grant, and answer any document request inside ZATCA's deadline.

    Zakat, VAT and tax service
  5. ۰۵

Receive the certificate and VAT number

ZATCA issues a registration certificate showing your Tax Identification Number and the date registration takes effect. The certificate must be displayed where the public can see it at your main place of business and at each branch, and the number must appear on every tax invoice.

  6. ۰۶

    Set up returns and invoicing

Before the first invoice, your invoicing system has to meet ZATCA's e-invoicing rules. We then put your return dates into a calendar and prepare each return from your books.

The thresholds, case by case

The rule that catches most new companies is the forward-looking test. A company with a signed contract worth more than SAR 375,000 over the next year can be required to register before it has invoiced anything. The table sets out each case as the VAT Implementing Regulations describe it.

SituationRegistrationDeadline and effective date
Resident, taxable supplies in the past 12 months above SAR 375,000MandatoryApply within 30 days of the month end; registration starts at the beginning of the month after you apply
Resident, supplies expected to exceed SAR 375,000 in the next 12 monthsMandatoryApply within 30 days of the month end; registration starts from the first month supplies were expected to exceed the threshold
Resident, supplies or expenses of SAR 187,500 or more, past or expectedVoluntaryEffective date as approved by ZATCA
Supplies above the threshold that are all zero-ratedNot requiredMay register voluntarily
Non-resident obligated to pay VAT on supplies in the KingdomMandatory, with no thresholdApply within 30 days of the first such supply

Why some new companies register before they have to

ZATCA's guidance notes that voluntary registration suits a business that wants to recover VAT on expenses it pays before it starts invoicing customers. A new company fitting out premises or buying equipment can pass SAR 187,500 in expenses well before it makes its first sale.

Registration also brings obligations: returns every period, compliant e-invoicing and VAT records. A voluntarily registered business that later falls below the thresholds may be required to deregister, and must apply within 30 days when it is. We look at your expected costs and sales before recommending either route.

Returns, payment and changes after registration

Your tax period depends on size. If annual taxable supplies exceeded SAR 40 million in the previous 12 months, returns are monthly. Everyone else files every three months, and may apply to file monthly instead. Each return, and the VAT it shows, is due by the last day of the month after the period ends.

Registration details must also stay current. If any of the information you gave ZATCA changes, such as your address or activities, you have 20 days to notify ZATCA.

E-invoicing comes with registration

ZATCA's e-invoicing rules (FATOORA) have applied since 4 December 2021 to all taxpayers except non-residents. Tax invoices must be issued from a compliant electronic solution. The second phase, integrating that solution with ZATCA's systems, has been rolled out in waves since 1 January 2023, and ZATCA notifies each taxpayer of its wave at least six months in advance.

For a company registering now, the practical step is to choose an invoicing system that meets these requirements before issuing the first invoice, rather than replacing one later.

Common VAT registration mistakes

If a business does not apply when it should, ZATCA can register it on its own initiative, effective from the date the business should have been registered. VAT on sales since that date is still due, and late registration attracts penalties under ZATCA's rules. These are the errors we see behind most late registrations:

  • Testing the threshold once a year instead of at every month end
  • Ignoring the forward-looking test when a large contract is signed
  • Counting exempt supplies or the sale of a capital asset toward the threshold
  • Assuming a foreign company without a Saudi entity is outside VAT, when a non-resident liable to pay VAT must register within 30 days with no threshold
  • Issuing invoices from a system that does not meet the e-invoicing rules
  • Moving premises or changing activities without updating ZATCA within 20 days

اکثر پوچھے جانے والے سوالات

What is the VAT registration threshold in Saudi Arabia?
Registration is mandatory once taxable supplies in the past 12 months exceed SAR 375,000, or are expected to exceed it in the next 12 months. A resident business with supplies or expenses of SAR 187,500 or more may register voluntarily.
How long do I have to register for VAT after crossing the threshold?
You must apply within 30 days of the end of the month in which the threshold was crossed, or in which you first expected to cross it. If you do not apply, ZATCA can register you itself from the date you should have been registered.
Can a new company register for VAT before it has any sales?
Yes. A resident company whose expenses, or expected supplies, reach SAR 187,500 can register voluntarily, which lets it recover VAT on costs incurred before it starts invoicing. If expected supplies over the next 12 months exceed SAR 375,000, registration is mandatory, sales or not.
What documents are needed for VAT registration in Saudi Arabia?
The application needs the company's official name, address, email, CR number, any existing ZATCA identification number, the value of annual supplies or expenses, and the requested effective date. ZATCA may ask for supporting documents, such as contracts or financial records, and must give you at least 20 days to provide them.
What is the VAT rate in Saudi Arabia?
The standard rate is 15%. Some supplies are zero-rated, and some are exempt, such as qualifying financial services and qualifying residential rent. Exempt supplies do not count toward the registration threshold.
How often are VAT returns filed in Saudi Arabia?
Every three months, unless annual taxable supplies exceeded SAR 40 million in the previous 12 months, in which case returns are monthly. A smaller business may apply to file monthly. Each return and payment is due by the last day of the month after the period ends.
Does a foreign company need to register for VAT in Saudi Arabia?
A company incorporated in Saudi Arabia, including a 100% foreign-owned LLC, follows the resident rules and thresholds above. A non-resident that is itself obligated to pay VAT on supplies in the Kingdom must register within 30 days of the first such supply, with no threshold.
What happens if I register for VAT late?
ZATCA can register you on its own initiative from the date you should have been registered, so VAT on sales since then is still due. Late registration also attracts penalties under ZATCA's rules, which is why we test the threshold every month for clients close to it.
How much does a VAT consultant charge in Saudi Arabia?
It depends on whether you only need registration or ongoing returns, bookkeeping and ZATCA correspondence as well, and on your transaction volume. Book a consultation through our contact page and we will scope it against your figures.
