Healthcare Company Setup in Saudi Arabia

Foreign investors can own private hospitals and medical complexes in Saudi Arabia outright. The company is formed through a MISA license and a Commercial Registration, the facility is licensed by the Ministry of Health on its Seha platform, and every clinician needs registration with the Saudi Commission for Health Specialties. Medical devices and medicines add a third regulator, the Saudi Food and Drug Authority (SFDA).

How to set up a private healthcare company in Saudi Arabia

The sequence below is for a foreign-owned company opening a medical complex or hospital. The company comes first, because the Ministry of Health's process starts from a Commercial Registration.

  1. ۰۱

    Choose the facility type

The Ministry of Health licenses each facility type separately: hospital, general or specialized polyclinic, one-day surgery center, laboratory, radiology center, home care, telemedicine and more. The type sets your ownership options, staffing minimums and premises.

Check your activity with the free MISA assessment
  2. ۰۲

    Attest your corporate documents

A corporate shareholder's registration certificate and articles need attestation and certified Arabic translation. Start this while the facility plan is still being drawn.

    Document attestation service
  3. ۰۳

    Obtain the MISA license

A complete application is typically approved in 2–6 weeks. The license must list the healthcare activities you will actually run, because the Ministry of Health checks the facility against them.

  4. ۰۴

Register the company and extract the CR

The trade name is reserved, the Articles of Association are notarized and the Commercial Registration is issued, typically 1–2 weeks after the MISA license when documents are in order. The CR is a prerequisite for the Ministry of Health application.

  5. ۰۵

Secure the premises and municipal approval

The ministry's investor guide asks for the municipality's approval of the location, and a lease or title deed, before the facility application. Hospitals need a title deed or a lease of at least 15 years and an initial design from an architecture office that specializes in health facilities.

  6. ۰۶

Apply on Seha, then pass the inspection

The application on Seha states the specialty and, for a hospital, the number of beds. The final license follows the completed premises, the municipal permit, SCFHS registration of the clinical team and a site inspection by the regional health directorate.

  7. ۰۷

Register staff platforms and open the bank account

Activate ZATCA, GOSI, Qiwa, Mudad and Muqeem so you can hire and sponsor clinicians. The corporate bank account usually takes 2–4 weeks and should run in parallel with the fit-out, not after it.

    Visa issuance for your team

What a foreign investor can own

Since the Private Health Institutions Law was amended in 2019, foreign investors can own, operate and manage private hospitals and health centers. In practice that covers hospitals, general and specialized polyclinics (medical complexes), laboratories, radiology and one-day surgery centers.

The exception that catches investors is the single medical clinic. The Ministry of Health's investor guide defines it as owned and supervised by a specialist physician, with a Saudi physician as supervisor. A foreign-owned project is therefore set up as a polyclinic, which needs at least three clinics, rather than as one doctor's clinic.

The guide also sets staffing conditions by facility type, including a full-time Saudi managing director for most facilities. Put those roles in the hiring plan early.

Facility typeMOH license routeWhat to plan for
HospitalOrdinary licenseMinimum 30 beds (general), 20 (two specialties) or 10 (single specialty); title deed or 15-year lease
General polyclinicOrdinary licenseAt least three clinics including one basic specialty, an emergency department and ambulance cover
Specialized polyclinicOrdinary licenseAt least three clinics for each specialty offered
Laboratory, radiology, one-day surgeryOrdinary licenseInspection and equipment checks before opening
Physiotherapy, nutrition and similar support centersInstant licenseIssued electronically on Seha

Medical devices, medicines and the SFDA

Under the Medical Devices Law, a device can be supplied in the Kingdom only if it is registered with the SFDA and holds a Medical Device Marketing Authorization (MDMA). Applications run through the SFDA's GHAD system. An overseas manufacturer applies through a licensed authorized representative in the Kingdom, and the SFDA expects an ISO 13485 quality management system behind the product.

The company that imports and distributes the devices holds its own establishment license from the SFDA. Selling equipment is also a trading activity, not a healthcare service, so a wholly foreign-owned supplier meets MISA's higher capital and investment conditions for trading.

Medicines follow a parallel track. The SFDA licenses pharmaceutical establishments such as scientific offices, which promote a manufacturer's registered medicines, as well as drug warehouses and factories. Its investor guide for scientific offices applies to foreign investors, requires the CR and MISA license first, and requires the office manager to be a licensed Saudi pharmacist.

Clinical staff: SCFHS registration and hiring

Every doctor, nurse and allied health professional, Saudi or expatriate, needs professional classification and then professional registration with the Saudi Commission for Health Specialties before starting work. Both run on SCFHS's Mumaris Plus portal. Classification can be applied for from outside the Kingdom; registration needs lawful residence and is valid for two years.

Qualifications that are not on the SCFHS recognized list go through a qualification study first, which adds time. Start these files while the company is being formed, not after the visas are issued. Practitioner licenses are then issued through your facility on Seha.

Hiring itself runs through Qiwa, GOSI and Muqeem, and your Nitaqat band governs visa issuance, so the Saudization plan belongs in the business plan from the start.

Where the time actually goes

The company side is predictable, and the Ministry of Health license issues quickly once the facility is complete. The time goes into the building, the equipment and recruiting registered clinicians, so those tracks start in parallel with formation.

Mistakes that delay healthcare projects

Our part is the company: MISA, the Commercial Registration, the government platforms and visas, filed online on your behalf from our Jeddah office for a facility in any city, sequenced against your Ministry of Health timetable. These are the errors to avoid.

  • Planning a single-doctor clinic under foreign ownership, when the ministry reserves that facility type for a physician owner.
  • Signing a hospital lease shorter than 15 years, or choosing a site before the municipality has approved it for health use.
  • Listing activities on the license and CR that do not match the facility type, which means amending both.
  • Leaving SCFHS classification until visas are issued, so qualified staff wait weeks before they can work.
  • Treating equipment sales as a healthcare service. Selling devices is trading and needs the trade license conditions.

Healthcare businesses on the Saudi commercial register

Active registrations for clinics and medical complexes, hospitals, pharmacies and medical equipment suppliers, from the Ministry of Commerce register. A registration counts when the activity is listed on it, so these are companies registered for the activity, including medical operating companies, not a count of licensed facilities.

اکثر پوچھے جانے والے سوالات

Can a foreigner open a hospital in Saudi Arabia?
Yes. Since the 2019 amendments to the Private Health Institutions Law, foreign investors can own, operate and manage private hospitals and health centers. The company needs a MISA license and a Commercial Registration, and the hospital is licensed by the Ministry of Health on Seha after a site inspection.
Can a foreigner open a medical clinic in Saudi Arabia?
Not as a single-doctor clinic. The Ministry of Health's investor guide defines a medical clinic as owned and supervised by a specialist physician, with a Saudi physician as supervisor. Foreign-owned projects are set up as a general or specialized polyclinic instead, which needs at least three clinics.
How do I get a Ministry of Health license for a private clinic or hospital?
Apply on the ministry's Seha platform once you hold a Commercial Registration and the municipality has approved the location. The initial approval covers the specialty, premises and, for hospitals, the bed count and design. The final license follows the municipal permit, SCFHS registration of your clinical staff and a site inspection.
How long does it take to open a medical complex in Saudi Arabia?
The company typically takes 4–12 weeks end to end, with the MISA license in 2–6 weeks. The ministry's guide says a polyclinic license issues within 10 working days once the site is complete and inspected. The total depends mostly on fit-out, equipment and recruiting registered clinicians.
Do I need SFDA approval to sell medical equipment in Saudi Arabia?
Yes. Each device needs a Medical Device Marketing Authorization from the SFDA, applied for on the GHAD system, and the importing company needs its own SFDA establishment license. Overseas manufacturers apply through a licensed authorized representative in the Kingdom. Selling equipment is also a trading activity, so trading license conditions apply.
Who licenses pharmacies in Saudi Arabia?
The Ministry of Health licenses retail pharmacies on Seha as an instant license, under the Law of Pharmaceutical Establishments and Preparations. Pharmaceutical scientific offices, drug warehouses and factories are licensed by the SFDA. Ownership conditions for a pharmacy should be confirmed for your structure before you file.
Do doctors and nurses need a Saudi license?
Yes. Every practitioner needs professional classification and then professional registration with the Saudi Commission for Health Specialties, through its Mumaris Plus portal, before starting work. Registration needs lawful residence and is valid for two years. The practitioner license is then issued through the employing facility on Seha.
How much does it cost to set up a healthcare company in Saudi Arabia?
Formation costs follow the same structure as any Saudi company, and regulated activities cost more than a straightforward service LLC. The larger numbers are premises, equipment and clinical salaries. Use the cost calculator for the formation side, or book a consultation for a scoped estimate.
Do I need a Saudi partner to open a healthcare business?
Not for hospitals or polyclinics, which can be wholly foreign-owned under a MISA license. A single medical clinic is the exception, because it is owned by a specialist physician. Separately, most facility types need a full-time Saudi managing director, which is a staffing requirement rather than an ownership one.
