Business Setup in Riyadh: Company Formation in the Capital
Riyadh is where most foreign companies register when their customers are ministries, state-linked buyers or regional head offices. Under a MISA investment license, a foreign investor can own 100% of a Riyadh company in most activities, with no Saudi partner or sponsor. The full setup, from license to bank account, typically takes 4–12 weeks. The filings run on the government's online platforms, so you do not need to be in Riyadh for each step, and neither do we.

How to set up a company in Riyadh, step by step
The legal route is the same in every Saudi city. What makes Riyadh different is which early decisions carry the most weight: the license type, whether you also need a regional headquarters, and where your general manager will be based.
- ۰۱
Confirm your activity, and whether you need an RHQ
Your business activity decides your MISA license type, your capital commitments and your ownership ceiling. In Riyadh there is often a second question: if you are a multinational that will contract with government entities, you may need a Regional Headquarters license alongside your operating company. Settle both before filing, because they change what MISA asks for.

Attest and translate your corporate documents
A foreign corporate shareholder needs its commercial registration and articles of association legalized, by apostille or through the Saudi embassy, and translated into Arabic by a certified translator. This chain runs on other institutions' schedules, so it starts on day one.
Document attestation service - ۰۳
Obtain the MISA investment license
The application is filed online with the Ministry of Investment and a complete file is typically approved within 2–6 weeks. Being physically in Riyadh does not speed this up. The license sets your permitted activities and renews annually.

Reserve the name, notarize the Articles and extract the CR
The trade name, Articles of Association and Commercial Registration are completed with the Ministry of Commerce through the Saudi Business Center platform, with your Riyadh head office as the registered address. From MISA license to CR is typically 1–2 weeks when documents are in order.
Commercial Registration: how it works - ۰۵
Register the address, chamber and government platforms
Next come the national address, Riyadh Chamber membership, ZATCA for tax and VAT, GOSI, Qiwa, Mudad and Muqeem, and a municipality (Balady) license for your premises. These registrations are what let you hire, sponsor visas and invoice. Treating them as an afterthought is the most common setup mistake.
- ۰۶
Open the bank account and settle the general manager
Banks require the CR, the MISA license and the general manager's iqama or an in-person visit, which in practice takes 2–4 weeks. The GM's work visa and iqama run in parallel. If the GM will live in Riyadh, the account, the office and the first hires all sit in one city, which keeps the early months simple.

Why companies choose Riyadh
Riyadh is the capital and the seat of government. Most ministries, the Ministry of Investment itself and many of the large state-linked companies are based in the city, and the register figures below show it holds more active commercial registrations than any other Saudi city by a wide margin.
It is also where the Kingdom's largest events are concentrated. Riyadh hosts Expo 2030, which runs from October 2030 to March 2031, and is one of the host cities of the 2034 FIFA World Cup. Giga-projects such as Diriyah and Qiddiya are being built in and around the city.
The register shows where Riyadh is distinctive, too. Relative to its size, it has an above-average share of software, cloud, cybersecurity, management consulting and events companies, and most of the foreign company branches registered in the Kingdom are registered here. If your customers are head offices, government entities or technology buyers, Riyadh is usually where they sit.
The regional headquarters decision
The Regional Headquarters (RHQ) program is run by MISA together with the Royal Commission for Riyadh City. It gives multinationals that base their Middle East and North Africa headquarters in the Kingdom a 30-year incentive package, including 0% corporate income tax on approved RHQ activities. Since 2024, government entities have been directed to contract only with multinationals that hold a Saudi RHQ, with limited exceptions.
An RHQ is not a sales vehicle. Its licensed activities are management functions for the group's regional business, and it runs alongside, not instead of, your operating entity. Multinationals that need one therefore usually set up two things: an operating LLC or branch that signs contracts and invoices, and the RHQ that meets the procurement rule and carries the tax incentives.
Eligibility is narrower than many groups assume. The group needs subsidiaries or branches in at least two countries other than Saudi Arabia and its home country. We confirm eligibility before anything is filed, because an RHQ application built on the wrong assumption costs weeks.
Premises and zones in Riyadh
You need a compliant national address from day one, but a leased office is not required at incorporation for most activities. Many companies start on a serviced address and lease space as they hire. Head-office businesses often look at districts such as Olaya or the King Abdullah Financial District (KAFD). The district does not change the formation process, but the municipality license follows the premises, so a later move means updating it.
Riyadh also has two zones with their own rules that are worth checking before you pick a location. The Special Integrated Logistics Zone, opened in 2022 by the General Authority of Civil Aviation next to King Khalid International Airport, is aimed at distribution, assembly and re-export businesses. The Cloud Computing Special Economic Zone, launched in 2023 and based at King Abdulaziz City for Science and Technology, is for data center and cloud operators.
Both suit narrow activity profiles and carry conditions of their own. For a service company whose customers are Saudi organizations, a standard company on the mainland is usually the right answer.
What it costs to set up in Riyadh
MISA and Ministry of Commerce fees are set nationally, so the formation cost is broadly the same whichever city you register in. The first-year total depends mostly on the activity, the shareholder type and the MISA subscription; our company formation cost guide breaks it down line by line. Trading licenses and regulated activities cost more.
In Riyadh the variables are premises and people. Office space in the main business districts and senior salaries are where first-year budgets usually move, so price the year with your real headcount and address plan, not the formation fee alone. Recurring costs, including the MISA subscription, Chamber membership and accounting, are the figure to plan around.
How Alpha handles a Riyadh incorporation
Alpha is based in Jeddah, at Salama Tower in Al Salamah District. We do not have a Riyadh office, and formation does not need one. The MISA license, the Commercial Registration and the ZATCA, GOSI and Qiwa registrations are all filed on the government's online platforms, which work the same way for a company registered in any Saudi city.
The few steps that need a person in Riyadh, such as the general manager's bank visit and viewing premises, are planned around your team's travel. We work in Arabic, English, Hindi, Urdu and French, by phone, WhatsApp or email, Sunday to Thursday, 9:00 to 18:00.

اکثر پوچھے جانے والے سوالات
- How much does it cost to set up a company in Riyadh?
- Formation fees are set nationally, so the cost is broadly the same as elsewhere in the Kingdom. The first-year total depends on the activity, the shareholder type and the MISA subscription, and trading or regulated activities cost more. Premises and salaries are the Riyadh-specific variables, so use the cost calculator for a line-by-line figure.
- How long does company formation take in Riyadh?
- The MISA license typically takes 2–6 weeks from a complete application. The full sequence, including commercial registration, the government platforms and the bank account, typically takes 4–12 weeks end to end. Document attestation abroad and bank onboarding are the usual variables.
- Can a foreigner own 100% of a company in Riyadh?
- Yes, in most activities. Under a MISA investment license a foreign investor can own the whole company with no Saudi partner or sponsor. A short list of activities carries restrictions or capital conditions, which we check for your activity before filing.
- Do I need a Regional Headquarters (RHQ) in Riyadh?
- Only if you are a multinational that wants to contract with Saudi government entities, or you want the RHQ incentives. Since 2024, government entities have been directed to contract only with multinationals holding a Saudi RHQ, with limited exceptions. A company selling only to the private sector usually needs an operating company, not an RHQ.
- Do I need an office in Riyadh to register a company?
- You need a compliant national address from day one, but a leased office is not required at incorporation for most activities. Many companies start on a serviced address and lease space as they hire. Some licenses and Saudization tiers do require demonstrable premises.
- Can I set up a company in Riyadh without living in Saudi Arabia?
- Yes. Incorporation can be completed remotely under a power of attorney. The company does need a resident general manager for the bank account and day-to-day platform approvals, so most clients issue the GM visa as part of the setup.
- Should I open an LLC or a branch office in Riyadh?
- An LLC is the default: separate legal personality, limited liability and room to add shareholders. A branch executes contracts in the parent's name and inherits its track record, which can help in tenders, but the parent carries full liability for the branch. Multinationals that need an RHQ often pair it with an LLC or a branch for the operating side.
- Can Alpha register my company in Riyadh if your office is in Jeddah?
- Yes. The MISA, Ministry of Commerce, ZATCA, GOSI and Qiwa steps are filed on online platforms that work the same for a company registered in any Saudi city. Your company is registered at its Riyadh address, and where your consultant sits does not change that.
- Which business activities are most common in Riyadh?
- Construction and contracting make up the largest group, as they do nationally. Relative to its size, Riyadh has more software, cloud, cybersecurity, consulting and events companies than the national average. The register panel on this page shows the largest activities and links to the full city statistics.
