Trading Company Setup in Saudi Arabia
A foreign investor can own a Saudi trading company outright, but trading is the one mainstream activity where full ownership comes with capital and investment conditions. You need a MISA trading license, a Commercial Registration that lists your trading activities, and customs and product registrations before your first shipment clears. The company itself is typically set up in 4–12 weeks. This page covers each step and the decisions that shape it.

How to set up a trading company in Saudi Arabia
The sequence below is for a foreign-owned trading LLC. It follows the same spine as any Saudi company, with one extra decision at the start (ownership and capital) and an import layer at the end.
- ۰۱
Define what you will trade, and how
Wholesale, retail, import and export, and e-commerce are separate activities, and each must be declared on the license and the Commercial Registration. Your product categories also decide which regulators you will deal with later: SASO for most consumer and industrial goods, the SFDA for food and medical devices.

Settle ownership and capital before filing
A wholly foreign-owned trading company carries a materially higher capital commitment and investment undertakings set by MISA. A Saudi partner changes those conditions but also your control. Decide this first, because it shapes the license application, the Articles of Association and your capital plan.
Foreign ownership and the trading exception - ۰۳
Attest your corporate documents
A corporate shareholder's registration certificate, articles and recent financial statements need attestation (apostille or embassy route) and certified Arabic translation. This runs on other institutions' schedules, so it starts first.

Obtain the MISA trading license
A complete application is typically approved in 2–6 weeks. The license defines your permitted activities and renews annually, so the activity list has to match the business you will actually run.
MISA license: requirements and timeline - ۰۵
Register the company and extract the CR
The trade name is reserved, the Articles of Association are notarized, and the Commercial Registration is issued by the Ministry of Commerce, typically 1–2 weeks after the MISA license when documents are in order. With the CR you register the national address and join the Chamber of Commerce.
- ۰۶
Register for tax, labor and customs
Activate ZATCA (VAT and corporate tax), GOSI, Qiwa, Mudad and Muqeem. Then register the company as an importer or exporter on ZATCA's Fasah platform, which needs your CR number. This is the registration that lets the company import and export in its own name.
- ۰۷
Open the bank account and set up product compliance
The corporate bank account usually takes 2–4 weeks. In parallel, register regulated products on SABER and, where relevant, your establishment and products with the SFDA, so stock is cleared on arrival rather than held at the port.

Ownership and capital: the trading exception
For most service and industrial activities, an LLC has no statutory minimum capital. Trading is different. MISA attaches a materially higher capital commitment and multi-year investment undertakings to the wholly foreign-owned trading route. The threshold is set by MISA and can change, so we confirm the current figure for your activity and structure before anything is filed.
This is the fork in the road for product companies, and there are three common routes. The right one depends on how much control you need over pricing, stock and customers, and on the volume you expect in the first years.
A service license does not cover buying and selling goods. A services entity working alongside a Saudi distributor only works if the entity genuinely does not trade.
| Route | Who holds the stock | Main condition | Fits when |
|---|---|---|---|
| 100% foreign-owned trading company | Your Saudi entity | Higher MISA capital and investment commitment | You want full control of pricing, stock and customers |
| Trading company with a Saudi partner | Your Saudi entity | Shared ownership and governance; conditions confirmed per case | A partner adds real distribution, access or capital |
| Service company plus a Saudi distributor | The distributor | Your entity cannot buy or sell goods itself | You are testing demand, or offering marketing and after-sales support |
Wholesale, retail, import and e-commerce: what changes
The Ministry of Commerce trade license covers wholesale, retail, import and export, and e-commerce. One company can hold several of these, but each has to be declared, and each brings its own follow-on registrations.
Retail adds a municipality (Balady) license for each store, tied to the premises and the activity. Several retail categories also carry Saudization mandates for specific roles, which affects how you staff a shop from day one.
Online stores are verified through the Business Platform run by the Saudi Business Center. The Ministry of Commerce moved e-commerce verification there from the old Maroof platform in 2023. Verification needs an active Commercial Registration and a commercial bank account linked to the store, not a personal account. ZATCA e-invoicing applies to your sales invoices.
Customs, SABER and product regulators
Most delays for new traders happen at the port, not at the ministry. The registrations below are separate from the trade license, and each must be in place before the goods ship.
SABER is SASO's platform for registering products and conformity certificates. Products covered by a SASO technical regulation need a product certificate and a shipment certificate for each consignment. From 1 October 2026, products under ten technical regulations must also show the supplier's name and CR number on the label, so packaging artwork needs your Saudi details before production runs.
| If you trade | What you need | Authority |
|---|---|---|
| Any imported goods | Importer or exporter registration on Fasah, using your CR | ZATCA (customs) |
| Products under a SASO technical regulation | Product certificate plus a shipment certificate per consignment, on SABER | SASO |
| Food and beverages | Establishment and product registration on the Ghad platform before clearance | SFDA |
| Medical devices | Medical device establishment license; marketing authorization for each device | SFDA |
| Online sales | E-commerce verification on the Business Platform | Saudi Business Center |
Tax and ongoing compliance for traders
VAT is 15%, and registration is mandatory above SAR 375,000 in annual taxable supplies. VAT is also collected on imports at clearance. Corporate income tax is 20% on the share of profit attributable to foreign shareholders, with Zakat at 2.5% on Saudi and GCC shareholdings.
The recurring calendar is the same as any Saudi company: the annual MISA registration update, the CR annual confirmation, Chamber membership, municipality licenses for each store or warehouse, VAT returns, monthly GOSI contributions, and annual audited financial statements. Traders add product certificate renewals and SFDA registrations, which lapse on their own cycles.
Which legal structure fits a trading business
The limited liability company (LLC) is the usual vehicle for a foreign-owned trader: one shareholder minimum, limited liability, and room to add shareholders later. A joint stock company or Simplified JSC fits when you plan to raise capital or issue shares.
Multinationals that also want to sell to government entities should look at the Regional Headquarters program alongside the trading entity, since government contracts with multinationals are tied to a Saudi RHQ.
Mistakes that cost traders weeks
Most of these surface after the company exists, when they are slower and more expensive to fix.
- Licensing service activities and then invoicing goods. The activity mismatch surfaces at the bank or at customs and means amending the license.
- Settling the ownership and capital question after documents are filed, which forces a restart of the MISA application.
- Ordering stock before the Fasah registration and SABER certificates are in place, so the first shipment sits at the port.
- Assuming a product is unregulated without checking it against SASO technical regulations and SFDA scope.
- Running an online store through a personal bank account, which blocks e-commerce verification.
- Leaving the bank account to the end. You cannot pay suppliers, duties or salaries from a Saudi account until it is open.

اکثر پوچھے جانے والے سوالات
- Can a foreigner open a trading company in Saudi Arabia?
- Yes. Under a MISA trading license a foreign investor can own up to 100% of a trading company in most trading activities. Full ownership comes with capital and investment conditions that service companies do not face, and a small number of activities, such as fuel retail, remain restricted. We confirm your specific activity before filing.
- How much capital is needed for a trading license in Saudi Arabia?
- For a wholly foreign-owned trading company, MISA sets a materially higher capital commitment than for service or industrial activities, together with multi-year investment undertakings. The threshold is set by MISA and can change, so confirm the current figure for your structure before you commit. Service and most industrial activities have no statutory minimum capital for an LLC.
- What license do I need to import goods into Saudi Arabia?
- The company needs a Commercial Registration that lists import or trading activities, plus a MISA trading license if it is foreign-owned. It then registers as an importer on ZATCA's Fasah platform using its CR. Regulated products also need SABER certificates, and food and medical devices need SFDA registration.
- How long does it take to set up a trading company in Saudi Arabia?
- The MISA license takes 2–6 weeks for a complete application, and the full company setup is typically 4–12 weeks end to end. The bank account usually takes 2–4 weeks of that. Product registrations run in parallel and depend on your categories.
- Do I need a Saudi partner to open a trading company?
- No. A partner is not required; the wholly foreign-owned route is available with higher capital and investment conditions. A Saudi partner changes those conditions but also gives up control, so it only makes sense when the partner adds real distribution, access or capital.
- Can I sell online in Saudi Arabia with a trade license?
- Yes, if e-commerce is declared as an activity. Online stores are verified on the Saudi Business Center's Business Platform, which needs an active CR and a commercial bank account linked to the store. ZATCA e-invoicing applies to your sales.
- What is SABER and do I need it?
- SABER is SASO's platform for registering products and conformity certificates and issuing shipment certificates. Products covered by a SASO technical regulation need a product certificate and a shipment certificate for each consignment. It applies to imported and locally made products alike.
- Can a service company also trade goods in Saudi Arabia?
- No. Trading needs a commercial trade license; a service license does not cover buying and selling goods. A company can hold both if it does both, but each activity must be declared and licensed.
