Logistics Company Setup in Saudi Arabia

A foreign-owned logistics company in Saudi Arabia needs two layers of approval. The company itself takes a MISA license and Commercial Registration, typically 4–12 weeks. Each regulated activity then needs its own license from the Transport General Authority (TGA), from road freight and freight brokerage to parcel delivery and car rental. This page maps which approvals apply to which logistics model.

How to set up a logistics company in Saudi Arabia

The company is formed on the standard Saudi path. The logistics layer is licensed activity by activity, so the model you choose at the start decides how many licenses you will hold.

  1. 01

Map the business model to regulated activities

Road freight, freight brokerage, truck rental, warehousing, parcel delivery, delivery apps, car rental and passenger transport are separate activities, each with its own rules. A freight forwarder that also runs trucks and a warehouse needs all three in its license and CR.

  2. 02

Attest documents and obtain the MISA license

The foreign shareholder's commercial registration and latest financial statements are attested and translated into Arabic. A complete MISA application is typically approved in 2–6 weeks.

  3. 03

Register the company with every transport activity on the CR

The Commercial Registration follows, typically 1–2 weeks after the MISA license. TGA licensing checks the CR, and the postal regulation, for example, requires a valid CR that includes the licensed activity. Missing activities mean an amendment before you can apply.

  4. 04

Activate tax, labor and payroll platforms

Register with ZATCA, GOSI, Qiwa, Mudad and Muqeem. Drivers, warehouse staff and operations teams are hired through the same Qiwa and visa process as any employer, under your Nitaqat band.

Work visas for drivers and operations staff
  5. 05

Apply for TGA licenses on Logisti

Land and maritime transport licenses are issued through the TGA's Logisti platform, where you select the license that matches each activity. Processing time and fees vary by activity, and some licenses require vehicles or a physical office to be in place first.

  6. 06

    Set up customs access

Register the company as an importer or exporter on ZATCA's Fasah platform. To have a broker clear shipments for you, authorize a licensed customs broker on Fasah using the broker's license number and an authorization period, for single or repeated use.

  7. 07

    License the premises

Warehouses and depots need a municipal license from Balady. Food storage and distribution also need an SFDA license through the Ghad platform. If the company will buy rather than lease, it needs MISA approval to own the property.

Which license covers which logistics activity

Logistics in Saudi Arabia is licensed by activity, not by sector, and most of the activity licenses sit with the TGA. The table shows the main approvals. A business usually needs more than one, and each adds its own renewal and reporting obligations.

Ownership and license type

Transport and logistics are registered with MISA as service activities, paired with a Ministry of Commerce commercial license. MISA's investor guide (12th edition, April 2025) sets special capital or Saudi-participation conditions for a short list of activities, and transport and logistics are not on it. For most service activities, an LLC has no statutory minimum capital.

Two activities need a separate check. Customs brokerage is a ZATCA-licensed profession, so confirm eligibility for your ownership structure before you build a clearance service into the model. Buying or selling goods on your own account is trading, which carries MISA's much higher commercial conditions. A freight business that never takes title to the goods avoids that question.

Parcel delivery and last-mile

Parcel and express delivery fall under the Law of Postal Services, which covers receiving, transporting, distributing and delivering mail matter, express mail and parcel lockers. Licensing moved from the communications regulator to the TGA in 2022. The TGA's postal regulation asks for evidence of financial solvency, a CR that includes the activity, and a business description and work plan. A license runs for at least two years, and services must start within six months of the grant.

Delivery apps are licensed separately, and the TGA has suspended food and passenger apps found operating without a license. If you are building a delivery platform, the license belongs in the launch plan, not after it.

Warehouses: owning, leasing and licensing

Most new logistics companies lease. A registered Ejar lease supports the national address and the municipal license, and keeps capital free for vehicles and systems.

Owning is possible for a MISA-registered company when the property serves its licensed activity. MISA's approval service covers warehouses, staff housing and administrative headquarters. The property must sit outside Makkah and Madinah and may not be bought for commercial resale. The application needs the title deed and a building permit, municipal letter or official land-use document.

Food warehouses and distribution centers also need SFDA licensing on the Ghad platform, which looks at the site itself. Plan the layout with the SFDA requirements in hand before fit-out.

Structure and ongoing obligations

A limited liability company is the usual vehicle. Multinational logistics groups that also want government contracts should look at the Regional Headquarters program alongside the operating entity, since government contracts with multinationals are tied to a Saudi RHQ.

The recurring calendar is the annual MISA registration update, the annual Commercial Registration confirmation, Chamber membership, TGA license renewals, municipal and SFDA renewals for each site, VAT returns, monthly GOSI contributions, and annual audited statements with the Zakat or income tax return.

Mistakes that delay logistics launches

Most come from treating logistics as one license when it is several.

  • Registering a CR with one transport activity and discovering each added service needs an amendment first.
  • Launching last-mile delivery or a delivery app before the TGA license is issued.
  • Building a customs clearance offer before confirming who can hold the broker license.
  • Signing a warehouse lease for food storage without checking SFDA site requirements.
  • Taking title to goods in a freight business, which turns part of it into trading.
  • Leaving visas for drivers until vehicles arrive, when your Nitaqat band decides how many you can issue.

Frequently asked questions

What license do I need to start a logistics company in Saudi Arabia?
A foreign-owned company needs a MISA license and a Commercial Registration listing its activities. Each regulated activity then needs a license, mostly from the Transport General Authority: goods transport, freight brokerage, parcel delivery, delivery apps or car rental. Customs brokerage is licensed by ZATCA and food warehousing by the SFDA.
Can a foreigner own a transport company in Saudi Arabia?
Yes. Transport and logistics are registered with MISA as service activities, and the investor guide sets no special capital or Saudi-participation condition for them. Foreign ownership of up to 100% is available. Customs brokerage needs a separate eligibility check.
What is a TGA license?
It is the activity license the Transport General Authority issues for land and maritime transport, applied for on the Logisti platform. You select the license matching each activity, and processing time and fees vary by activity. It sits on top of the company's Commercial Registration.
Do courier and parcel delivery companies need a license in Saudi Arabia?
Yes. Parcel and express delivery are postal services under the Law of Postal Services, licensed by the TGA since 2022. The application needs a CR that includes the activity, evidence of financial solvency and a work plan, and the license runs for at least two years.
Do delivery apps need a license in Saudi Arabia?
Yes. The TGA licenses delivery applications and publishes the list of licensed operators. It has suspended food and passenger apps operating without a license, so the license should be in place before launch.
Do I need a customs broker license to clear goods in Saudi Arabia?
Not to import your own goods. An importer registers on ZATCA's Fasah platform and can authorize a licensed customs broker there to clear its shipments. Clearing goods for clients as a service is customs brokerage, which is licensed by ZATCA.
Can a foreign-owned company buy a warehouse in Saudi Arabia?
Yes, with MISA approval when the warehouse serves the company's licensed activity. The property must be outside Makkah and Madinah, cannot be bought for resale, and the application needs the title deed and a building permit or official land-use document.
How long does it take to set up a logistics company in Saudi Arabia?
The MISA license takes 2–6 weeks for a complete application, and the full company setup is typically 4–12 weeks end to end. TGA licensing follows the CR, and its timing varies by activity and by how quickly vehicles and premises are ready.
