Company Liquidation in Saudi Arabia
A solvent Saudi company is closed through voluntary liquidation under the Companies Law. The partners resolve to dissolve and appoint a liquidator, who settles the debts, distributes what is left and has the company struck off the commercial register. Around that sits a set of closures with ZATCA, GOSI, Qiwa, Balady and, for a foreign-owned company, MISA. We prepare the resolutions and filings and run those closures in order, under the authorization of the partners and the liquidator.

How a voluntary liquidation runs
This is the path for a solvent limited liability company. The order of the government closures depends on your employees, licenses and tax position, so we confirm it for your company before starting.
- 01
Confirm the company can pay its debts
Before the partners vote, the managers prepare a statement confirming they have examined the company, that its assets will cover its debts by the end of the proposed liquidation period, and that it is not in default under the Bankruptcy Law. The statement goes to the partners within 30 days of being prepared.
- 02
Resolve to dissolve and appoint a liquidator
The partners resolve to dissolve the company and, within 60 days, appoint one or more liquidators, following the rules for amending the articles of association. The resolution sets the liquidator's powers, fees, any restrictions and the liquidation period. A foreign-owned company can also ask MISA for endorsement letters to support the liquidation.
- 03
Register the liquidation and notify ZATCA
The liquidator registers and publishes the appointment with the commercial register; until then it has no effect against third parties. The company's documents carry the words 'under liquidation' after its name. The liquidator also notifies ZATCA in writing that liquidation has started.
- 04
Take stock, collect and pay
Within 90 days the liquidator prepares an inventory of assets, rights and liabilities, with a report from the company's auditor if it has one. Assets are turned into cash, due debts are paid in order of priority, and amounts are set aside for debts that are deferred or disputed. Zakat returns and financial statements continue on their normal dates.
- 05
Close the employee and platform files
Each employee is transferred to a new employer or given a final exit before the establishment file is cancelled on the labor side. GOSI registration ends, the municipal license is cancelled on Balady, and the company deregisters from VAT within 30 days of ceasing activity.

Final report and strike-off
The liquidator presents a detailed final financial report, and liquidation ends when the partners approve it. The liquidator then registers and publishes the end of liquidation, and the company is struck off the commercial register. Only from that date is the closure effective against third parties.
- 07
Cancel the MISA registration
For a foreign-owned company, the last step is MISA's voluntary cancellation decision. It requires the CR cancellation certificate and proof that the company's unique number with ZATCA has been stopped, with employees cleared, premises closed and all activity ended.

Dissolution, liquidation and strike-off are three different things
Dissolution is the event that ends the company's life: its fixed term expiring, the partners agreeing to dissolve it, or a final court judgment. Liquidation is the period that follows, in which the company keeps its legal personality only as far as liquidation needs it. Strike-off is the end: the company's entry is removed from the commercial register.
Simply stopping trading closes nothing. Under ZATCA's Zakat regulations, Zakat stops on permanent cessation only if ZATCA receives a written application within 60 days; otherwise it continues until the application is made. The CR annual confirmation and the MISA annual update also stay due until the company is formally closed.
When liquidation goes through the court instead
Voluntary liquidation is only open to a company that can pay its debts. If the managers' statement shows the assets will not cover the debts, the partners may not resolve to dissolve. If they do, they are jointly liable for any debt left unpaid. An insolvent company must instead apply to the competent court for liquidation under the Bankruptcy Law.
The same applies if the shortfall appears later. A liquidator who finds during the process that the assets are not enough must tell the partners and creditors immediately and apply to the court. These are legal proceedings; we are not a law firm, and you will need a lawyer for them.
The liquidator's powers and liability
Within the limits of the appointment, the liquidator represents the company before courts, arbitration panels and third parties, and sells its assets for the best price obtainable. Selling the business as a whole needs permission from whoever made the appointment, and no new business may be started except to complete existing work.
The order of payment is fixed: liquidation costs first, then the company's other debts, then the partners' capital, then any surplus by shareholding unless the articles say otherwise. For each financial year the liquidation lasts, the liquidator files financial statements and a progress report with the commercial register.
The liquidator is liable for damage caused by exceeding those powers or by mistakes in the work. Except in cases of fraud or forgery, such claims cannot be heard more than five years after strike-off. A liquidator who fails to register the appointment, or the end of liquidation, commits a violation that carries a penalty under the Companies Law.
What we need from the owners
Liquidation moves at the speed of the company's records. Before we start, we ask for:
- The partners who will sign the resolutions, and the person who will act as liquidator
- The articles of association, the latest financial statements and the books
- Known creditors and debtors, open contracts, leases and bank accounts
- The employee list, with residency details for expatriate staff
- Every license and permit held, and access to the company's platform accounts
How Alpha handles company closures
We plan the sequence for your company, prepare the resolutions and filings for the partners and the liquidator, and run the closures on Qiwa, Muqeem, GOSI, Balady, ZATCA, the Ministry of Commerce and MISA under the authorization you grant. Our accounting and Zakat teams prepare the final returns, the VAT deregistration and the liquidation accounts. Most steps run on national platforms, so we can close companies registered in any Saudi city; where one needs an in-person appointment, such as at a labor office, we tell you in advance.
We are a business consultancy based in Jeddah, not a law firm, auditor or government body, and we have no special access. Where a closure needs a lawyer or an auditor, we say so at the start. Our team speaks Arabic, English, Hindi, Urdu and French, and is reachable by phone, WhatsApp or email, Sunday to Thursday, 9:00 to 18:00 KSA time.
Frequently asked questions
- How do I close a company in Saudi Arabia?
- For a solvent company, the partners resolve to dissolve it and appoint a liquidator, who registers the liquidation, settles the debts, distributes the remaining assets and has the company struck off. Employee, GOSI, VAT, municipal and MISA files are closed along the way.
- How long does company liquidation take in Saudi Arabia?
- It depends on the company's debts, contracts, employees and tax position. The law sets some fixed points: the liquidator is appointed within 60 days of dissolution, the inventory is due within 90 days, and liquidation cannot exceed three years unless a court extends it.
- Who can be a liquidator in Saudi Arabia?
- One or more people, who can be partners or outsiders, appointed by the partners. If they do not appoint one within 60 days of dissolution, or the company was dissolved by a court judgment, the court appoints the liquidator.
- Can I cancel my CR without liquidating the company?
- Not for a company. The Ministry of Commerce lets sole proprietorships and company branch registrations be cancelled online, but a company must complete its liquidation before its main CR is cancelled.
- What happens if I just stop operating my Saudi company?
- The obligations continue. Zakat keeps accruing unless ZATCA receives a written notice within 60 days of permanent cessation, and the CR annual confirmation and MISA annual update stay due. Lapses lead to suspended services and penalties, so a dormant company is better liquidated properly.
- How do I cancel a MISA license when closing a company?
- Apply for MISA's voluntary cancellation decision once the CR has been cancelled. MISA asks for the CR cancellation certificate and proof that the company's unique number with ZATCA has been stopped, and expects employees to be cleared, premises closed and all activity ended.
- How do I deregister from VAT when closing a company?
- Apply to ZATCA within 30 days of ceasing economic activity. VAT may be due on goods the company still holds at deregistration, at their market value. The tax identification number is cancelled after indirect taxes such as VAT have been cancelled.
- What if the company cannot pay its debts?
- Then voluntary liquidation is not available. The company must apply to the court for liquidation under the Bankruptcy Law, and you will need a lawyer for that process.
- How much does it cost to liquidate a company in Saudi Arabia?
- It depends on how many employees, licenses and open tax periods need closing, and whether accounts need catching up first. Book a consultation through our contact page and we will scope the closure for your company.
