IT Company Setup in Saudi Arabia
Software, IT services and IT consulting are licensed as services in Saudi Arabia. That makes them one of the simpler routes for a foreign investor: up to 100% foreign ownership in most activities and no statutory minimum capital for an LLC. Setup typically takes 4–12 weeks. The extra rules depend on what you actually do. Cloud and telecom services sit under the CST, cybersecurity services under the NCA, and personal data under the Personal Data Protection Law.

How to set up an IT company in Saudi Arabia
The standard path for a foreign-owned IT or software LLC. Steps one to five are the same for any service company; steps six and seven are where IT businesses differ.
- 01
Map your activities to the right codes
The Ministry of Commerce classifies software development, application development, systems integration, UI and UX design, IT consulting, network management, hosting and data processing, and cybersecurity as separate activities. The codes you pick decide whether CST or NCA rules apply later, so choose them for what you will really deliver.

Attest your corporate documents
A corporate shareholder's registration certificate and articles need attestation and certified Arabic translation. Start this first; it is the most common source of delay.

Obtain the MISA service license
IT activities are licensed as services. A complete application is typically approved in 2–6 weeks, and the license renews annually.

Notarize the Articles and extract the CR
An LLC needs one shareholder minimum and no board, and most service activities have no statutory minimum capital. The Commercial Registration typically follows the MISA license within 1–2 weeks when documents are in order.
- 05
Complete post-incorporation registrations
ZATCA (VAT and corporate tax), GOSI, Qiwa, Mudad and Muqeem. These are what let you hire, sponsor visas and invoice compliantly.
- 06
Add sector registrations if your activity needs them
Cloud providers register with the CST, telecom services need a CST license, and cybersecurity providers register with the NCA. Plan the order: CST's General Class License, for example, asks for a Commercial Registration that has been valid for at least three months.
- 07
Open the bank account and issue the GM visa
The corporate bank account usually takes 2–4 weeks. The general manager's visa and iqama run in parallel so the company has a resident signatory.

Which license an IT company needs
A foreign-owned IT company holds two licenses: the MISA investment license, which permits foreign ownership, and the Ministry of Commerce commercial service license, which authorizes the activity. Both are filed as one engagement. Most software, IT services and consulting activities need nothing more at the licensing stage.
The exceptions are activities that touch regulated infrastructure or security. And if you also sell hardware or equipment, that part of the business is trading and needs a commercial trade license on top of the service license.
| What you do | What you need beyond the CR | Authority |
|---|---|---|
| Software, apps, systems integration, IT consulting | MISA service license (if foreign-owned) and the commercial service license | MISA, Ministry of Commerce |
| Provide cloud computing services | Cloud computing registration in Class A, B or C, with matching data center certification | CST |
| Provide telecommunications services | A license or registration under CST's classification, such as the General Class License | CST |
| Provide cybersecurity services | Registration as a cybersecurity provider; managed SOC services are licensed separately | NCA |
| Sell hardware or equipment | Commercial trade license | Ministry of Commerce |
Cloud, hosting and telecom: the CST
The Communications, Space and Technology Commission (CST) registers companies that provide cloud computing services in the Kingdom. Registration is by class. Class A requires a Tier 2 or higher facility certificate or ISO/IEC 27001 for the data centers; Classes B and C require Tier 3 or higher.
Most software companies consume cloud services rather than provide them, and registration applies to the provider. If you sell to government or regulated clients, expect them to ask which registered provider hosts your platform.
Providing telecommunications services needs a license or registration under CST's classification, which runs from carrier and internet services to IoT and virtual network operators. The General Class License requires a Commercial Registration valid in the Kingdom for at least three months, with the activity listed. A new company cannot apply on day one, so the gap belongs in the launch plan.
Cybersecurity and data protection
The National Cybersecurity Authority (NCA) keeps a register of cybersecurity service providers and licenses managed security operations center (MSOC) services. A broader licensing framework for cybersecurity services, products and solutions went through public consultation in 2026. If cybersecurity is your core activity, registration with the NCA belongs in the setup plan.
Even if you are not a cybersecurity company, your clients may be bound by NCA's Essential Cybersecurity Controls. They apply to government entities and their affiliated companies, and to private operators of critical national infrastructure. Those clients write cybersecurity requirements into supplier contracts, and the controls require monitoring and operations centers that serve them over remote access to be fully located in Saudi Arabia.
The Personal Data Protection Law, overseen by SDAIA, has been fully enforceable since September 2024. It governs how you collect and process personal data and sets conditions for transferring it outside the Kingdom. Decide where customer data will be stored before you sign your first contract, not after.
Selling to government and large buyers
Government procurement runs through Etimad, and you can bid once you hold a CR, are registered on the relevant platforms and meet Saudization requirements. Multinationals bidding for government work also need a Regional Headquarters license.
Large buyers such as Aramco, SEC and NEOM run their own vendor registrations, and technology and data suppliers are commonly asked for ISO/IEC 27001 certification. Both take weeks, so they are worth starting while the company is being formed.
Hiring and Saudization for tech teams
Every company with employees is placed in a Nitaqat band based on its share of Saudi nationals, and the band governs visas, iqama renewals and transfers. New companies get a grace period before the ratio applies; use it to plan which roles are expatriate specialists and which can be Saudi hires from the start.
Some roles carry their own localization rules on top of the band, including customer-facing telecom roles. Check the job families your model depends on before you commit to a headcount plan.
Common mistakes when setting up an IT company
These are the issues that most often stall IT and software entrants after the CR is issued.
- Choosing a generic IT consulting code, then providing hosting or telecom services, which brings CST rules the license did not anticipate.
- Planning to apply for a CST telecom license the week the CR is issued, when the General Class License needs a CR at least three months old.
- Signing a government or infrastructure contract without reading the NCA requirements it passes down to suppliers.
- Moving customer personal data abroad without checking the PDPL transfer conditions.
- Bundling hardware into service invoices without a trade license.

Frequently asked questions
- What license do I need for an IT company in Saudi Arabia?
- A foreign-owned IT company needs a MISA investment license and a Ministry of Commerce commercial service license, then the Commercial Registration. Cloud and telecom services also need CST registration or licensing, and cybersecurity providers register with the NCA.
- Can a foreigner own 100% of an IT company in Saudi Arabia?
- Yes. Software, IT services and IT consulting are service activities, and foreign investors can own up to 100% of the company under a MISA license in most of them. No Saudi partner or sponsor is required.
- Is there a minimum capital for a software company in Saudi Arabia?
- For most service activities there is no statutory minimum capital for an LLC. Capital is declared in the Articles of Association and should match what the business needs to operate. Some regulated sectors set their own thresholds.
- How long does it take to register an IT company in Saudi Arabia?
- The MISA license typically takes 2–6 weeks for a complete application, and the full setup is usually 4–12 weeks end to end. The corporate bank account takes 2–4 weeks of that. CST or NCA registrations come after the CR.
- Do I need a CST license to provide cloud services in Saudi Arabia?
- Companies that provide cloud computing services in the Kingdom register with the CST in Class A, B or C, each with data center certification requirements. Companies that only use cloud services do not register as providers, but government and regulated clients will ask where your platform is hosted.
- Do cybersecurity companies need NCA approval in Saudi Arabia?
- The NCA keeps a register of cybersecurity service providers and licenses managed security operations center services. A wider licensing framework for cybersecurity services and products went through public consultation in 2026. We confirm the current requirement for your specific services before filing.
- Can my IT company sell hardware as well as services?
- Only with a commercial trade license in addition to the service license. A service license does not cover buying and selling goods, and both activities must be declared on the license and the CR.
- Can a foreign-owned IT company work for the Saudi government?
- Yes, once it holds a CR, is registered on Etimad and meets Saudization requirements. Multinationals also need a Regional Headquarters license to contract with government entities, and NCA cybersecurity controls flow down into the contract.
