Holding Company Setup in Saudi Arabia

Under the Companies Law in force since January 2023, a Saudi holding company is not a separate company type. It is an LLC, a simplified joint stock company or a joint stock company that forms subsidiaries or owns interests in existing companies. Foreign shareholders need a MISA license as for any foreign-owned Saudi company, and each operating subsidiary is licensed for its own activities.

How to set up a holding company in Saudi Arabia

The holding entity is formed like any Saudi company. What changes is the planning: which form sits at the top, what it will own, and how the companies below it are licensed.

  1. 01

Map the group before you file

List what the holding company will own: new subsidiaries, existing Saudi companies, or both. Then list each subsidiary's activities, because ownership conditions attach to the activity of each company, not to the group.

  2. 02

Choose the form of the holding entity

An LLC is the simplest top company. A simplified joint stock company suits a group that will bring in investors. A joint stock company fits larger groups, regulated sectors or a listing plan, and carries the heaviest governance.

  3. 03

Attest documents and obtain the MISA license

Foreign corporate shareholders attest and translate their registration documents, then apply for the MISA license, typically approved in 2–6 weeks. The license defines the holding company's own permitted activities.

  4. 04

Notarize the articles and extract the CR

The trade name is reserved, the articles are drafted around the group's governance and notarized, and the Commercial Registration is issued, typically 1–2 weeks after the MISA license.

  5. 05

    Form or acquire the subsidiaries

New subsidiaries are incorporated with the holding company as shareholder, each with its own license and CR. Moving an existing LLC under the holding means transferring interests, and the other partners' right of first refusal applies unless the articles say otherwise.

Register, bank and set the compliance calendar

The holding company registers with ZATCA and opens its corporate bank account, usually in 2–4 weeks. Each company in the group then keeps its own renewals and filings.

What the Companies Law says about holding companies

Part 9 of the Companies Law is short. Article 216 defines a holding company as a joint stock company, simplified joint stock company or limited liability company that incorporates companies or owns interests or shares in existing companies, which then become its subsidiaries. Article 219 leaves the detailed provisions to the Implementing Regulations.

Article 217 sets when a company counts as a subsidiary. Any one of the tests below is enough.

Article 218 closes the loop: a subsidiary may not acquire interests or shares in its holding company, and any transfer that would do so is void. A company that already held shares in its new parent cannot vote them and must dispose of them within 12 months, a period the competent authority can extend.

  • The holding company owns enough of the subsidiary's capital to hold the majority of voting rights.
  • It alone controls the appointment of the subsidiary's manager or the majority of its board, or can remove them.
  • It alone controls the majority of voting rights under an agreement with the other partners or shareholders.
  • The company is a subsidiary of one of the holding company's subsidiaries.

Which form should the holding company take?

The form at the top decides your governance, your capital floor and how easily you can bring in investors later. Converting afterwards is possible, but turning a company into a simplified joint stock company needs the unanimous approval of its partners or shareholders, so the choice is easier to make at the start.

Foreign ownership of a Saudi holding company

Foreign investors can own Saudi companies outright in most activities under a MISA license, and a holding company is a Saudi company like any other. It needs MISA registration for its own licensed activity, and every subsidiary needs its own license for what it does.

A holding layer does not change the conditions on the activity below it. A trading subsidiary still meets MISA's trading conditions, a regulated profession still needs its regulator, and an activity on the restricted list stays restricted. Plan the group around the most conditional subsidiary, not the simplest one.

How the holding company's own activity is classified matters too, so we confirm it with MISA for your shareholders before the application is filed.

Holding company, RHQ or branch?

Groups often compare a holding company with the other structures foreign companies use. They solve different problems, and a group can use more than one.

StructureWhat it isFits when
Holding companyA Saudi company that owns Saudi subsidiariesYou will run several Saudi businesses under one Saudi parent
Regional Headquarters (RHQ)A multinational's regional management entity with 30-year incentives, including 0% corporate income tax on RHQ activitiesYou manage the region from the Kingdom or need government contracts
Branch officeAn extension of the foreign parent with no separate legal personalityYou execute contracts in the parent's name
Single operating LLCOne company for one business lineYou have one activity and no plan for a group

Tax and compliance across a group

Every company in the group is a separate legal person with its own registrations. Each one renews its CR and Chamber membership, files VAT returns where registered, prepares annual financial statements and files Zakat or income tax. A group with five subsidiaries runs six compliance calendars.

Corporate income tax is 20% on the share of profit attributable to foreign shareholders, and Saudi and GCC shareholdings pay Zakat at 2.5% instead. Withholding tax of 5–20% applies to certain payments to non-residents, which matters when profits leave the group.

The law also anticipates restructuring: Article 226 lets the Implementing Regulations set simplified rules for merging a wholly owned subsidiary into its holding company.

Mistakes to avoid

We form the holding company and its subsidiaries on the official platforms on your behalf, from our Jeddah office, wherever in the Kingdom the group operates. These are the planning errors that cost the most to unwind.

  • Expecting the holding structure to remove the conditions on a subsidiary's activity.
  • Letting a subsidiary hold shares in its parent, which the law treats as void.
  • Putting a joint stock company at the top with no investor or listing plan, and carrying board governance for nothing.
  • Forgetting the other partners' right of first refusal when moving an existing LLC under the holding.
  • Choosing an LLC when investors are coming, then needing unanimous approval to convert into a simplified JSC.

Head offices and management companies on the register

The commercial register does not track holding companies as a sector of their own. The closest grouping is management consultancies and head offices, which counts head-office activities and the regional headquarters of foreign companies together with management consulting. Read it as a broad indicator of where group head offices sit, not as a count of holding companies.

Frequently asked questions

What is a holding company in Saudi Arabia?
Under Article 216 of the Companies Law, a holding company is a joint stock company, simplified joint stock company or LLC that incorporates companies or owns interests or shares in existing companies, which become its subsidiaries. It is a role a company plays, not a separate company type.
Can a foreigner own a holding company in Saudi Arabia?
Foreign investors can own Saudi companies outright in most activities under a MISA license, and a holding company is formed the same way. What needs checking is the activity: the holding company's own and each subsidiary's. We confirm both with MISA before filing.
Can an LLC be a holding company in Saudi Arabia?
Yes. The Companies Law allows an LLC, a simplified joint stock company or a joint stock company to act as a holding company. An LLC is often the simplest choice for a family or single-owner group.
What is the minimum capital for a holding company in Saudi Arabia?
It depends on the form. An LLC's capital is set by its partners in the articles, a simplified joint stock company is exempt from the joint stock company minimum, and a joint stock company needs issued capital of at least SAR 500,000 with a quarter paid up. Subsidiaries in conditional activities, such as trading, carry their own requirements.
When is a company a subsidiary under Saudi law?
Article 217 sets four tests, and meeting any one is enough. The holding company has the majority of the voting rights, alone controls the appointment or removal of the manager or most of the board, or controls the majority of votes by agreement with the other owners. A subsidiary of one of its subsidiaries also counts.
Can a subsidiary own shares in its holding company?
No. Article 218 bars it, and any transfer that would give a subsidiary shares in its holding company is void. A company that already held shares before becoming a subsidiary cannot vote them and must sell them within 12 months.
Should I set up a holding company or a regional headquarters?
They do different jobs. A holding company owns Saudi subsidiaries. An RHQ is a multinational's regional management entity with 30-year incentives and access to government contracts, and it runs alongside, not instead of, the operating companies.
How long does it take to set up a holding company in Saudi Arabia?
The holding entity follows the standard timeline: the MISA license in 2–6 weeks and full setup in 4–12 weeks, with the bank account taking 2–4 weeks. Each subsidiary is then formed or transferred in, on its own timeline.
How much does it cost to set up a holding company in Saudi Arabia?
The holding company costs about the same to form as any Saudi company of its form, and each subsidiary is a separate company with its own fees and renewals. The recurring cost of running several companies is the number to plan around. Use the cost calculator or book a consultation for a group estimate.
