100% Foreign Ownership in Saudi Arabia: What's Allowed, What's Restricted, and How It Works

ExplainerAugust 20269 دقائق قراءة

The single most persistent myth about doing business in Saudi Arabia is that you need a Saudi partner. For the large majority of activities, you do not: the Kingdom permits 100% foreign ownership through the MISA investment license, and has since the Foreign Investment Law opened the door in 2000 — with the list of open activities expanding steadily since, in line with Vision 2030's investment-attraction targets.

Full ownership means exactly that: complete control of equity, profits, and management, with no nominee shareholders and no silent local partners. The nominee structures still occasionally marketed to foreign investors are not a workaround worth considering — they are legally void, they concentrate risk in precisely the person you least control, and they forfeit the protections a MISA license exists to provide.

How the license makes it work

Foreign ownership in Saudi Arabia is permission-based: the MISA license authorises a named foreign investor to own a Saudi entity for specified activities. The license type follows the activity — service, trading, industrial, and the specialised programmes such as the Regional Headquarters and entrepreneur licenses — and each carries its own conditions and fee schedule.

For most service activities, the conditions are light: no general minimum capital, no Saudi shareholding, and a documentation-driven application that clears in days. The conditional cases are where planning matters, and the largest of them is trading.

The trading-license exception

Wholesale and retail trading is open to full foreign ownership, but on different terms from services: the wholly foreign-owned route carries a capital requirement of SAR 30 million together with multi-year investment undertakings, while structures with a Saudi partner trade at conventional capital levels. For product companies this is the fork in the road — and choosing it belongs at the start of planning, because it shapes the license, the capital structure, and sometimes the case for starting with a services or distribution-adjacent model instead.

The negative list — activities closed to foreign investment outright — is short and largely predictable: certain upstream oil activities, some security and military categories, services connected to Hajj and Umrah, and a handful of others. If your activity is not on it, the question is never whether you can own your Saudi company, only which license conditions apply.

What this means in practice

For the typical foreign entrant — a services, technology, engineering, or industrial business — the practical position is simple: you can own all of it, the license is procedural rather than discretionary for open activities, and the conditions that do exist are documentary. The planning questions worth real attention are the license classification (which follows your true activity), the trading threshold where products are involved, and profession-level rules where regulated credentials apply.

Alpha's formation practice starts every engagement with exactly that classification exercise, because the license type set on day one determines the fee schedule, the conditions, and the amendments you will or will not need later. Full ownership is the norm; getting the classification right is the work.

Common questions

Can foreigners own 100% of a company in Saudi Arabia?

Yes, for the large majority of activities. The MISA investment license authorises full foreign ownership — complete control of equity, profits, and management — with no Saudi partner required. A short negative list of restricted activities and some conditional categories are the exceptions.

Do I need a Saudi sponsor or partner to start a business?

No. The sponsor model does not apply to MISA-licensed companies. Nominee or side-agreement arrangements marketed as alternatives are legally void and create serious risk — the license route is both the legal one and the safer one.

Which activities are restricted for foreign investors?

A short negative list remains closed — including certain upstream oil activities, some security categories, and services connected to Hajj and Umrah. Other activities are open but conditional, most notably wholesale/retail trading and some regulated professions.

What are the conditions for a 100% foreign-owned trading company?

The wholly foreign-owned trading route carries a SAR 30 million capital requirement together with multi-year investment undertakings. Structures with a Saudi partner operate at conventional capital levels — which is why the ownership decision belongs at the start of planning for product businesses.

Is there a minimum capital for a foreign-owned service company?

There is no general minimum for most service activities — capital is set commercially in the Articles of Association. Specific activities and programmes can carry their own thresholds, which is part of the classification exercise at licensing.

How long does it take to get approved for foreign ownership?

The MISA license — the approval itself — typically issues within 3 to 7 business days of a complete application for open activities. The full formation sequence through to an operating company runs eight to twelve weeks including the bank account.
