Company Setup in Saudi Arabia for Pakistanis
Yes, a Pakistani company or Pakistani national can own 100% of a Saudi company in most activities, under a MISA investment registration and without a Saudi sponsor. Pakistan's Ministry of Foreign Affairs has issued apostilles since May 2024, and Saudi Arabia is a fellow member of the Apostille Convention, so Pakistani documents no longer need the old embassy chain. Most of the work is preparing those documents the way MOFA expects, before your appointment.

How a Pakistani founder or company sets up in Saudi Arabia
The Saudi side is the same for every foreign investor. The Pakistan-specific work sits at the start: the shareholder, the State Bank rules on investing abroad, and documents prepared to MOFA's checklist.
- ٠١
Confirm the activity and the shareholder
Check that your activity is open to full foreign ownership. Then decide who holds the shares. MISA's requirements are written around a company with a commercial registration and financial statements, so if your Pakistani business is a sole proprietorship or a firm registered with the Registrar of Firms rather than an SECP company, raise it at the start.

Check the State Bank rules with your bank
Pakistani residents, including companies, may invest in equity abroad on a repatriable basis under the State Bank of Pakistan's Foreign Exchange Manual, with transactions processed by authorized dealer banks. Speak to your bank before you commit capital.
- ٠٣
Prepare documents to MOFA's checklist
Get the SECP documents, board resolution and power of attorney into the form MOFA attests: originals or properly attested copies, Chamber countersignatures where required, and the signatory available to appear in person for a power of attorney.
Document attestation service - ٠٤
Apply for the apostille and attend the appointment
Apply on MOFA's apostille portal and attend on your scheduled date. MOFA's notice says documents are processed only on the appointment date. Each apostille carries a QR code that the Saudi side can use to verify it.
- ٠٥
Translate into Arabic
MISA says documents filed with it do not need translating, but other ministries may require it, and the Articles of Association are notarized in Arabic. Certified translation runs while the apostille is in process.

Register with MISA and incorporate
File the MISA application online, then reserve the name, notarize the Articles of Association, issue the Commercial Registration, and activate ZATCA, GOSI, Qiwa, Mudad and Muqeem.

Open the bank account and issue the general manager's visa
The bank looks through to the ultimate owners in Pakistan, so the same apostilled documents support the bank file. Account opening typically takes 2 to 4 weeks.

The apostille route from Pakistan, and what changed
Pakistan acceded to the Hague Apostille Convention in July 2022, and the Convention entered into force for Pakistan on 9 March 2023. From that date Pakistani authorities began accepting foreign apostilles. Issuing them took longer: Pakistan's Ministry of Foreign Affairs began issuing apostilles on 17 May 2024. Saudi Arabia's own accession took effect on 7 December 2022, and Saudi Arabia appears on MOFA's list of countries that accept the apostille.
The competent authority is MOFA, at its headquarters in Islamabad and its liaison offices in Karachi, Lahore, Quetta, Peshawar and Gujrat. Apostilles issued in Pakistan carry a QR code for verification. One caution on the Saudi side: MISA's Investor Guide still describes the foreign company's registration and financial statements as certified by the Saudi embassy. We confirm with each receiving authority which form it accepts before you book a MOFA appointment, so no document is processed twice.
Preparing Pakistani company documents for MOFA
MOFA's attestation checklist sets specific conditions for commercial documents, and a document that does not meet them is not processed. The conditions that matter for a Saudi company file are below. Meet them before the appointment, because the Saudi side cannot start until the file is complete.
- SECP and Registrar of Firms documents, including the certificate of incorporation, memorandum and articles, Form-29 and Form-A: MOFA attests originals, and photocopies must first be attested by the issuing authority
- Board resolutions, powers of attorney and authority letters are on MOFA's list of attestable commercial documents; for powers of attorney and authority letters, the owner, MD or CEO must appear in person
- Business and commercial agreements: signed by company executives and countersigned by the local Chamber of Commerce and Industry
- Audit reports of private companies: countersigned by the Institute of Chartered Accountants of Pakistan, or supported by an affidavit from the auditor
- Company status certificates: issued by the company registrar and countersigned by the Chamber of Commerce and Industry
Already working in Saudi Arabia on an iqama?
If you live in the Kingdom and plan to start your own company, the company has to be registered in your own name through MISA. An arrangement where a Saudi national's name or commercial registration fronts a business you run is commercial concealment under the Anti-Commercial Concealment Law. The Ministry of Commerce inspects for it nationally, and the penalties include imprisonment, fines and deportation of the non-Saudis involved.
Your employment and residency are part of the plan. MISA's entrepreneur category asks an applicant who is resident and employed in the Kingdom for a no-objection letter from the employer. We work through this with you at the first consultation.
State Bank rules and tax
Chapter 20 of the State Bank of Pakistan's Foreign Exchange Manual allows residents of Pakistan, including companies, to make equity investments abroad on a repatriable basis. The basic conditions: the destination country must allow repatriation of profits, dividends and capital, the funds must be legitimate and tax-paid, and the investor must be financially sound, with a clean loan repayment record and a place on the active taxpayer list. Authorized dealer banks process the transactions under category-specific rules, and IT-sector companies have a general permission route for setting up subsidiaries abroad.
Saudi Arabia and Pakistan have a convention for the avoidance of double taxation, signed and in force since 2006. On the Saudi side, corporate income tax is 20% on the foreign-held share of profit, VAT is 15% above SAR 375,000 in annual taxable supplies, and withholding tax of 5 to 20% applies to certain payments to non-residents. Take advice in Pakistan on how this applies to you.

الأسئلة الشائعة
- Can a Pakistani own a company in Saudi Arabia?
- Yes. A Pakistani company or Pakistani national can own a Saudi company under a MISA investment registration, with 100% foreign ownership in most activities. Most Pakistani businesses register with their SECP company as shareholder; for individuals, MISA's guidance names Premium Residency and the entrepreneur category as the routes.
- Can a Pakistani start a business in Saudi Arabia without a Saudi partner?
- Yes, for most activities. The sponsor model does not apply to MISA-registered companies. Where an activity carries a Saudi-participation condition, it is set in regulation, and wholly foreign-owned trading carries a much higher capital commitment, so we confirm your activity first.
- Is Pakistan part of the Apostille Convention?
- Yes. Pakistan acceded in July 2022 and the Convention entered into force for Pakistan on 9 March 2023. Pakistan's Ministry of Foreign Affairs began issuing apostilles on 17 May 2024.
- Does Saudi Arabia accept apostilled documents from Pakistan?
- Both countries are parties to the Apostille Convention, and Saudi Arabia is on MOFA's list of countries that accept the apostille. MISA's guide still refers to embassy certification, so we confirm the accepted form with each authority before you book. Certified Arabic translation is still needed for most filings outside MISA.
- Where do I get documents apostilled in Pakistan?
- At the Ministry of Foreign Affairs, which issues apostilles at its Islamabad headquarters and its liaison offices in Karachi, Lahore, Quetta, Peshawar and Gujrat. You apply on MOFA's apostille portal and attend on your appointment date.
- Which documents does a Pakistani company need for a MISA registration?
- Typically the SECP certificate of incorporation, the memorandum and articles, audited financial statements for the last fiscal year, a board resolution approving the investment, and a power of attorney for the signatory. Each is apostilled by MOFA and translated into Arabic.
- Can a Pakistani working in Saudi Arabia on an iqama open a business?
- Only in your own name through MISA, never through a Saudi national's name, which is commercial concealment. If you apply under the entrepreneur category while employed in the Kingdom, MISA asks for a no-objection letter from your employer.
- How long does company setup take for a Pakistani investor?
- The MISA stage typically takes 2 to 6 weeks for a complete application, and the full sequence through to a bank account is typically 4 to 12 weeks. The MOFA appointment and bank onboarding are the usual variables.
- Is there a tax treaty between Pakistan and Saudi Arabia?
- Yes. Saudi Arabia and Pakistan have a convention for the avoidance of double taxation, signed and in force since 2006. How it applies to your income is a question for your tax adviser.
