Construction Company Setup in Saudi Arabia

A foreign investor can own a Saudi contracting company outright under a MISA license, and the company itself is typically set up in 4–12 weeks. Winning work depends on what follows: a technical grade from the Saudi Contractors Authority and contractor classification, without which a government entity cannot accept your bid on a classified project. This page covers the full sequence and the order that saves time.

How to set up a construction company in Saudi Arabia

The company follows the standard Saudi formation path. The contracting layer starts once you have a Commercial Registration, employees on GOSI and audited accounts, so plan both tracks together from the start.

  1. ٠١

Choose activities that match the fields you want to be classified in

Classification fields and activities are based on the national classification of economic activities, and the classification system reads your activities directly from the Commercial Registration. Building, finishing, electrical, plumbing and HVAC, roads and civil works are separate activities. If an activity is missing from your CR, you cannot be classified in it.

  2. ٠٢

    Attest your corporate documents

MISA asks for the foreign shareholder's commercial registration and its latest financial statements, attested and translated into Arabic. Attestation runs on other institutions' schedules, so it starts first.

  3. ٠٣

    Obtain the MISA license

A complete application is typically approved in 2–6 weeks. The license, now formally an investment registration with the Ministry of Investment, lists your permitted activities and is updated annually.

  4. ٠٤

Register the company and extract the CR

The trade name is reserved, the Articles of Association are notarized, and the Commercial Registration is issued, typically 1–2 weeks after the MISA license. The CR then carries your national address and Chamber of Commerce membership.

  5. ٠٥

Activate tax, labor and payroll platforms

Register with ZATCA, GOSI, Qiwa, Mudad and Muqeem. GOSI matters early for contractors: Contractors Authority membership asks for a GOSI compliance certificate showing the employees registered under your establishment.

  6. ٠٦

Join the Saudi Contractors Authority and get a technical grade

Membership is applied for on the Authority's Muqawil platform with a CR that includes contracting activities and the GOSI certificate. The technical grade starts on Balady and is completed on Muqawil. It assesses your workforce, and engineers and technicians must be registered with the Saudi Council of Engineers.

  7. ٠٧

Apply for contractor classification on Balady

Submit the classification request with your CR, financial statements deposited on the Qawaem platform and not older than 18 months, and the technical standards certificate. Balady lists 16 working days for a decision, which the regulations allow to extend to 60.

Contractor classification: what it is and when you need it

Classification is the Ministry of Municipalities and Housing's assessment of a contractor's financial, technical, administrative and execution capability. It places you in one or more fields and activities at a grade, and the grade sets the size of project you may take on. The legal basis is the Contractor Classification Law, issued by Royal Decree M/9 in 2021.

The rule that matters most is in Article 3: government agencies and public bodies may not accept a bid for a project subject to classification unless the contractor is classified in that project's field, activity and grade. Article 11 applies the same procedures to contractors licensed under the foreign investment framework, so a foreign-owned company is classified exactly like a Saudi one.

Grades are assigned on three groups of evidence: financial statements, your organizational structure and administrative and technical staff, and the number, type and value of projects you have delivered. When two or more contractors execute a project jointly, each must be classified in the project's field, one at the required grade, and the others at that grade or one grade below.

Ownership, license type and the engineering line

Contracting is registered with MISA as a service activity, paired with a Ministry of Commerce commercial license. MISA's investor guide (12th edition, April 2025) sets special capital or Saudi-participation conditions for a short list of activities, and contracting is not on it. For most service activities, an LLC has no statutory minimum capital.

Engineering consultancy is different, and the two are often confused. A 100% foreign-owned engineering consulting company must show presence in at least four countries and at least ten years of experience under the same guide, and the practice is regulated by the Saudi Council of Engineers. A design-and-build group usually needs to plan both entities, or both sets of activities, separately.

If you only need to deliver one government or semi-government contract, MISA offers a temporary registration for foreign companies that have already won such a contract. It ends when the contract ends, so it suits a single project, not a long-term market presence.

Municipal works: the new qualification step

The Ministry of Municipalities and Housing has added a contractor qualification service for the municipal sector on the Balady Business platform. Companies are assessed against quality and operational-readiness standards and accredited for specific municipal services and areas.

The requirements build on everything above: a valid CR and municipal license, the required classification certificate and memberships, and qualified technical staff. Contractors already working in the municipal sector have a grace period until 30 June 2027 to complete qualification. A new entrant targeting municipal work should treat it as part of the setup plan.

After setup: what a contractor must keep current

A contracting company carries the standard Saudi calendar plus the contracting layer. The standard items are the annual MISA registration update, the annual Commercial Registration confirmation, Chamber membership, municipal licenses for offices, yards and workshops, VAT returns, monthly GOSI contributions, and annual audited financial statements with the Zakat or income tax return.

The contracting layer is your Contractors Authority membership, your technical grade and your classification certificate. A legal change in the company that affects its classification must be reported through an amendment request. Upgrades and new fields need supporting evidence. Audited statements feed classification directly, so late accounts hold back a regrade.

Saudization runs through all of it. Your Nitaqat band governs work visas and iqama renewals, and a contractor that slips into a low band can find visa services suspended while it is mobilizing for a project.

Mistakes that cost contractors months

Most of these surface at the classification stage, long after the company exists.

  • Licensing a narrow set of activities, then finding the CR does not include the fields you need classified.
  • Counting new Saudi engineers in the technical grade straight away. Muqawil counts a Saudi engineer only after 60 days of registration with the establishment.
  • Leaving the first audited statements late. Classification needs statements on Qawaem that are not older than 18 months.
  • Pricing a government tender before classification. The entity cannot accept your bid, however competitive it is.
  • Treating engineering consultancy and contracting as one license, when MISA sets separate conditions for foreign-owned engineering consultancies.
  • Mobilizing staff before the Nitaqat band can support the visas you need.

الأسئلة الشائعة

Can a foreigner own a construction company in Saudi Arabia?
Yes. Under a MISA license a foreign investor can own 100% of a Saudi contracting company. MISA's investor guide sets no special capital or Saudi-participation condition for contracting, unlike trading or engineering consultancy. The company is then classified under the same procedures as a Saudi contractor.
What is contractor classification in Saudi Arabia?
It is the Ministry of Municipalities and Housing's assessment of a contractor's financial, technical, administrative and execution capability, which places it in fields, activities and a grade. Government entities may not accept a bid for a project subject to classification from a contractor that is not classified in the right field and grade. Applications are made on Balady.
Do I need contractor classification for private projects?
The legal obligation in the Contractor Classification Law falls on government agencies and public bodies, which may not accept bids from unclassified contractors. Private clients set their own prequalification rules, and large buyers run their own vendor registration. Getting classified early keeps public tenders open to you when they come up.
What documents are needed for contractor classification?
A valid Commercial Registration that includes the activities to be classified, financial statements deposited on the Qawaem platform and not older than 18 months, and a technical standards certificate for each field. The technical certificate for contractors comes from the Saudi Contractors Authority through Muqawil.
How long does contractor classification take?
Balady lists 16 working days for a classification decision, which the classification regulations allow to extend to 60 working days. Before that you need the Contractors Authority technical grade and audited statements, which take longer for a new company than the application itself.
How do I register with the Saudi Contractors Authority?
Apply for membership on the Muqawil platform with a Commercial Registration that includes contracting activities and a GOSI compliance certificate showing your registered employees. The technical grade is then requested from Balady and completed on Muqawil, where the Authority reviews it.
Can a foreign contractor work on one Saudi government project without a full company?
MISA offers a temporary registration for foreign companies that have already won a government or semi-government contract. It covers that contract and ends when the contract ends. For repeated bidding, an LLC or branch is the usual route.
How long does it take to set up a construction company in Saudi Arabia?
The MISA license takes 2–6 weeks for a complete application, and the full company setup is typically 4–12 weeks end to end. Contractors Authority membership, the technical grade and classification follow once the company has a CR, staff on GOSI and audited accounts.
How much does it cost to set up a contracting company in Saudi Arabia?
Cost depends on your activities, structure, premises and staffing, and contracting adds membership and classification steps on top of standard formation. Use the cost estimate for a line-by-line budget, or book a consultation for a scoped quote.
