UK Company Setup in Saudi Arabia
A UK company can own 100% of a Saudi subsidiary in most activities, or register a branch of itself, under a MISA investment registration. Its Companies House documents are legalized with an apostille from the FCDO's Legalisation Office, because both countries are in the Apostille Convention, and then translated into Arabic. The real decision is structure: an LLC, a branch or a regional headquarters, and which one your Saudi contracts will require.

How a UK company sets up in Saudi Arabia
The sequence below assumes a UK limited company as the shareholder. The UK-side steps come first because they run on UK institutions' schedules, not on the Saudi timeline.
- ٠١
Choose the structure
Decide between a Saudi LLC owned by the UK company, a branch of the UK company, or a regional headquarters alongside an operating entity. The choice sets the document list and how liability sits between the two countries.
Compare company structures - ٠٢
Gather the UK company documents
Order the certificate of incorporation from Companies House and assemble the articles of association, the latest financial statements, a board resolution approving the Saudi entity and appointing its manager, and a power of attorney for the signatory.
- ٠٣
Certify what Companies House did not issue
Companies House certificates can go straight to the Legalisation Office. Board resolutions, powers of attorney and copies of other documents first need certifying by a UK notary or solicitor.
- ٠٤
Apostille at the FCDO Legalisation Office
The Legalisation Office checks the signature, stamp or seal against its records and attaches the apostille. Documents signed electronically by a UK notary or solicitor can use the e-Apostille service instead of paper.
Document attestation service - ٠٥
Translate into Arabic
MISA says documents filed with it do not need translating, but other ministries may require it, and the Articles of Association are notarized in Arabic. Certified translation runs while the apostille is in process.

Register with MISA, then incorporate
File the MISA application online, typically 2 to 6 weeks to approval with preparation. Then reserve the name, notarize the Articles of Association, issue the Commercial Registration and activate ZATCA, GOSI, Qiwa, Mudad and Muqeem.
MISA license: requirements and timeline - ٠٧
Bank account and general manager
Open the corporate account, typically 2 to 4 weeks, and issue the general manager's visa and iqama so the entity has a resident signatory.

Branch, LLC or RHQ for a UK parent
Most UK companies choose a Saudi LLC: separate legal personality, limited liability, and room to add Saudi partners or investors later. A branch makes sense when tenders or clients need the UK company's own track record and you accept that the parent carries the branch's obligations. A regional headquarters is a separate decision for groups running Middle East and North Africa operations, and it sits alongside an operating entity rather than replacing one.
MISA also offers two narrower registrations that suit some UK companies better than a full entity.
| Structure | Fits a UK parent that | Main trade-off |
|---|---|---|
| Saudi LLC (subsidiary) | Wants Saudi liability ring-fenced and a long-term local business | A second company with its own Saudi compliance calendar |
| Branch | Needs to contract and tender in its own name and track record | No separate legal personality; the UK parent carries the branch's obligations in full |
| Regional headquarters | Runs MENA operations and wants Saudi government work | MISA asks for commercial registrations from two countries other than Saudi Arabia and the head-office country |
| Temporary registration | Has won a specific government or semi-government contract | Ends when the contract ends |
| Scientific and technical office | Sells through a Saudi agent or distributor | Limited to scientific and technical support for your agents, distributors and customers |
Legalizing UK documents: the FCDO apostille
The UK has been a party to the Hague Apostille Convention since 1965, and the Convention entered into force for Saudi Arabia on 7 December 2022. Between member states, an apostille replaces the old chain of embassy legalization for public documents.
In the UK, the Legalisation Office of the Foreign, Commonwealth and Development Office is the only competent authority that issues apostilles. It legalizes documents issued by a public registry such as Companies House, by a court or by a government department directly. Everything else, including board resolutions, powers of attorney, contracts and copies of passports, needs certifying by a UK public official such as a notary or solicitor first. Since 2022 there has been an e-Apostille option for PDFs that a UK notary or solicitor has signed electronically.
One caution on the Saudi side: MISA's Investor Guide still describes the foreign company's registration and financial statements as certified by the Saudi embassy. Apostilled UK public documents should not need embassy legalization as well, but we confirm with each receiving authority which form it accepts before your notary starts.
What the Saudi side asks of a UK group
Under MISA's implementing regulations, a company applying to register gives the particulars of its owners, shareholders, controlling persons or ultimate beneficial owners. Saudi banks apply the same logic when they open the account: they look through the immediate shareholder to the people at the top of the chain.
For a UK company owned directly by its founders, that is simple. For a UK subsidiary of a holding company, a private equity fund or an overseas group, each layer of the chain needs documents, legalized and translated. Map the chain before you instruct the notary, so every layer is apostilled in one pass.
Tax and the UK-Saudi relationship
The UK and Saudi Arabia have a double taxation convention, signed in 2007 and in force since 1 January 2009, since modified by the OECD Multilateral Instrument. On the Saudi side, corporate income tax is 20% on the foreign-held share of profit, withholding tax of 5 to 20% applies to certain payments to non-residents, and VAT is 15% above SAR 375,000 in annual taxable supplies. A regional headquarters carries 30-year incentives including 0% corporate income tax on RHQ activities. Take UK tax advice on branch versus subsidiary before you file.
The trade relationship is substantial. The UK Department for Business and Trade's factsheet released in September 2026 puts total UK-Saudi trade at £13.4 billion in the 12 months to March 2026, and the stock of UK direct investment in Saudi Arabia at £6.5 billion at the end of 2024.
Working with Alpha from the UK
Alpha is based at Salama Tower in Jeddah. We set out the document list for your structure, run the attestation chain from the UK through to acceptance by Saudi authorities, and file the formation and government transactions on the official online platforms on your behalf, with your authorization. That is why we can register your company in any Saudi city, including Riyadh.
Incorporation can be completed remotely under a power of attorney, so your UK directors do not need to travel for the filings. The company does need a resident general manager for the bank account and day-to-day platform approvals. We work in English and Arabic, Sunday to Thursday, 9:00 to 18:00 KSA time, and we are not a law firm.
الأسئلة الشائعة
- Can a UK company own 100% of a company in Saudi Arabia?
- Yes, in most sectors. A UK company can own 100% of a Saudi company under a MISA investment registration, with no Saudi partner or sponsor. A short negative list of activities carries restrictions or capital conditions, so we confirm your activity before filing.
- Should a UK company open a branch or a subsidiary in Saudi Arabia?
- Most choose a subsidiary LLC for its separate legal personality and limited liability. A branch contracts in the UK parent's name and inherits its track record, which helps in some tenders, but the parent carries unlimited liability for the branch's obligations. Take UK tax advice before choosing.
- How do I apostille UK company documents for Saudi Arabia?
- Send Companies House certificates directly to the FCDO's Legalisation Office for an apostille. Board resolutions, powers of attorney and copies first need certifying by a UK notary or solicitor, and notary-signed PDFs can use the e-Apostille service. Then have the documents translated into Arabic.
- Does Saudi Arabia accept UK apostilles?
- Both countries are parties to the Apostille Convention, which entered into force for Saudi Arabia on 7 December 2022, so a UK apostille replaces embassy legalization for public documents. MISA's guide still refers to embassy certification, so we confirm the accepted form with each authority before you start.
- Does a UK company need an RHQ to win Saudi government contracts?
- Multinationals bidding for Saudi government work need a regional headquarters license; since 2024, government entities are directed to contract only with multinationals holding a Saudi RHQ. The RHQ runs alongside, not instead of, your operating entity.
- Is there a double tax treaty between the UK and Saudi Arabia?
- Yes. The UK-Saudi double taxation convention was signed in 2007 and entered into force on 1 January 2009, and it has since been modified by the Multilateral Instrument. How it applies to your structure is a question for your UK tax adviser.
- How long does it take a UK company to set up in Saudi Arabia?
- The MISA stage typically takes 2 to 6 weeks for a complete application, and the full sequence through to a bank account is typically 4 to 12 weeks. The UK apostille chain and bank onboarding are the usual variables.
- Do UK directors need to travel to Saudi Arabia to set up the company?
- No. Incorporation can be completed remotely under a power of attorney. The company does need a resident general manager for bank account opening and day-to-day platform approvals, so most clients issue the general manager's visa during setup.
- How much does it cost a UK company to set up in Saudi Arabia?
- It depends on the license type, legal form, premises and headcount, plus UK-side notary and apostille costs. Our cost estimator gives a line-by-line starting point, and a consultation turns it into a scoped quote.
