LLC Company Formation in Saudi Arabia

The limited liability company (LLC) is the default vehicle for foreign investors in Saudi Arabia: one shareholder is enough, a foreign individual or company can own all of it under a MISA license, and there is no statutory minimum capital for most service activities. Formation typically takes 4–12 weeks end to end. The Companies Law in force since January 2023 lets the partners set much of the governance in their own articles.

How to form an LLC in Saudi Arabia

The standard path for a foreign-owned LLC, whether it has one shareholder or several. Each step depends on the one before it, so the order matters.

  1. ٠١

Confirm your activity and its conditions

The activity decides your MISA license type, any capital commitment and whether full foreign ownership applies. Most service and industrial activities are open with no statutory minimum capital; trading carries higher commitments.

  2. ٠٢

Decide the shareholders and the manager

Settle who owns the interests, in what proportions, and who manages the company. The manager can be a partner or an outsider. In practice the company needs a resident general manager for the bank account and government platforms.

  3. ٠٣

    Attest your corporate documents

A corporate shareholder's registration certificate and articles, and often its latest financial statements, need attestation and certified Arabic translation. Individual founders need less.

  4. ٠٤

    Obtain the MISA license

The MISA license is the legal basis for foreign ownership. A complete application is typically approved in 2–6 weeks, and the license renews annually.

  5. ٠٥

Reserve the name, notarize the articles, extract the CR

The articles state the partners, name, head office, purpose, capital and its split, management, how interests are assigned and how profits are shared. Once notarized, the Commercial Registration is issued, typically 1–2 weeks after the MISA license.

  6. ٠٦

    Complete the post-incorporation registrations

Register with ZATCA, GOSI, Qiwa, Mudad and Muqeem, take a national address and join the Chamber of Commerce. These are what let the company hire, sponsor visas and invoice.

  7. ٠٧

Open the bank account and issue the GM visa

The corporate bank account usually takes 2–4 weeks, and banks generally want a resident signatory. Issue the general manager's visa and iqama in parallel so the two do not wait on each other.

What an LLC is under the 2023 Companies Law

The current Companies Law took effect on 19 January 2023, and companies that already existed were given two years to bring themselves into line. Its LLC rules sit in Part 6, Articles 156 to 184.

An LLC can be formed by one or more natural or legal persons. Its assets and liabilities are separate from those of its owners, and the partners are liable for its debts only up to their interests in the capital. The capital is set by the partners in the articles and divided into equal interests that cannot be traded like shares.

The company does not end when a partner dies, withdraws or becomes insolvent, unless the articles say so. An LLC may also issue debt instruments or financing sukuk under the Capital Market Law, which gives a growing company options beyond bank lending.

The single-person LLC

Article 157 allows an LLC to be formed by a single person, or to end up with one when all interests transfer to one owner. That owner, individual or company, holds the powers of the manager, the board of managers and the general assembly. Decisions are issued in writing and recorded in a special register kept at the company.

The owner can appoint one or more managers to run the company and represent it before courts and other parties. A single-person LLC has articles of association rather than articles of incorporation.

This is the usual structure when a foreign parent company sets up a wholly owned Saudi subsidiary. Adding a partner later means transferring interests or increasing capital, and amending the articles.

Managers, decisions and partner rights

With more than one partner, the law sets defaults that the articles can often tighten. These are the rules that matter most when you draft.

TopicRuleArticle
ManagersOne or more, partners or outsiders, appointed in the articles or a separate contract; a board of managers is optional160
Changing a managerEffective against third parties only once registered with the Commercial Register162
VacancyPartners appoint a new manager within 15 days of learning of it163
RemovalPartners may remove a manager; holders of a quarter of the capital can petition the court164
General assemblyAt least once a year, within six months of the year end; may meet using technology165
Ordinary decisionsPartners holding more than half of the capital, unless the articles require more166
Amending the articles, including capitalPartners holding at least three-quarters of the capital172
Losses of half the capitalThe manager calls the general assembly within 60 days to decide on continuing or dissolving182

Bringing in partners, and letting them leave

If a partner wants to sell to an outsider, the others have a right of first refusal: they, or the company, can buy the interest within 30 days of the manager being notified of the price. If the price is disputed, an accredited valuer sets the fair value. The articles can change the notice method, the valuation method and the period.

The articles can also add drag-along and tag-along rights, if partners holding at least 90% of the capital approve. A non-managing partner can inspect the company's records twice a year, and reserves are whatever the articles or the partners decide, rather than a fixed percentage.

These provisions are what make an LLC workable for a joint venture with a Saudi partner. Agree them in the articles before incorporation, when everyone still agrees.

LLC, simplified JSC, branch or professional company?

The LLC fits most foreign entrants. The alternatives exist for specific situations, and an LLC can later be converted to another form under the law's conversion rules.

LLCMost foreign companies and foundersOne shareholder minimum; interests are not tradable
Simplified JSCVentures raising capital or issuing share classesShares and flexible classes; converting into one needs unanimous approval

Professional companyLicensed professions such as engineering, accounting and lawNeeds the professional regulator's approval as well as MISA

Keeping the LLC in good standing

We file the formation and the government platforms online on your behalf, with your authorization, which is how we register LLCs in any Saudi city from our Jeddah office. After incorporation, these obligations recur every year.

  • MISA license renewal, plus CR and Chamber of Commerce renewals.
  • An annual general assembly within six months of the year end, with the manager's report and the financial statements.
  • VAT returns where registered (mandatory above SAR 375,000 in annual taxable supplies) and monthly GOSI contributions.
  • Corporate income tax at 20% on the foreign-held share of profit, or Zakat at 2.5% on Saudi and GCC shareholdings, filed with audited financial statements.
  • Registering any change of manager with the Commercial Register, since it only binds third parties once registered.
  • Saudization quotas under Nitaqat once the company starts hiring.

الأسئلة الشائعة

Can a foreigner form an LLC in Saudi Arabia?
Yes. A foreign individual or company can own up to 100% of a Saudi LLC in most activities under a MISA license, with no Saudi partner or sponsor. A short list of activities is restricted, and trading carries higher capital commitments, so the activity is confirmed before filing.
Can one person own an LLC in Saudi Arabia?
Yes. Article 157 of the Companies Law allows a single-person LLC, owned by one individual or one company. The owner holds the powers of the manager and the general assembly, records decisions in writing, and can appoint managers to run the company.
What is the minimum capital for an LLC in Saudi Arabia?
The law leaves capital to the partners, who set it in the articles, and there is no statutory minimum for most service activities. Trading activities carry significant MISA capital commitments, and some regulated sectors set their own thresholds. The articles also record the partners' acknowledgment that their contributions are fully paid.
How long does it take to form an LLC in Saudi Arabia?
The MISA license takes 2–6 weeks for a complete application, and the full sequence through to an operating company is typically 4–12 weeks end to end. Document attestation and the bank account, usually 2–4 weeks, are the most common variables.
Does a Saudi LLC need a Saudi manager?
The Companies Law lets the partners appoint one or more managers from among themselves or others. What the company does need in practice is a resident general manager, because banks and government platforms expect a resident signatory, so most foreign-owned LLCs issue the GM's visa during setup.
Is a partner personally liable for an LLC's debts?
No. Under Article 156 the company alone is liable for its debts and obligations, and the partners are liable only up to their interests in the capital. That limit is the main reason the LLC is preferred over a branch, where the foreign parent carries the liability.
How much does it cost to form an LLC in Saudi Arabia?
The first-year total depends on the activity, the shareholder type and the MISA subscription, which is the largest recurring line. Trading and regulated activities cost more. Use the cost calculator for a line-by-line estimate.
Can a Saudi LLC be converted into a joint stock company?
Yes. A company can convert to another form by a decision taken under the rules for amending its articles, once it meets the incorporation conditions of the new form. Converting into a simplified joint stock company requires the unanimous approval of the partners.
Should I form an LLC or open a branch in Saudi Arabia?
An LLC is the default: separate legal personality, limited liability and room to add shareholders. A branch executes contracts in the parent's name and inherits its track record, which can help in tenders, but the parent carries full liability. Most foreign companies choose the LLC unless a tender strategy points to a branch.
