US Company Setup in Saudi Arabia
An American company can own 100% of a Saudi subsidiary in most activities, or register a branch of itself, under a MISA investment registration. Its corporate documents are apostilled by the state that issued them, usually through the Secretary of State's office, because the US and Saudi Arabia are both in the Apostille Convention. The structure choice, LLC, branch or regional headquarters, also has US tax consequences, so settle it with your US tax adviser before you file.

How a US company sets up in Saudi Arabia
The order matters because apostilles are issued state by state. Work out which state issued or notarized each document before anything is signed.
- ٠١
Settle the structure with your US tax adviser
Decide between a Saudi LLC owned by the US company, a branch, or a regional headquarters alongside an operating entity. Take the US tax view first, because it can decide between branch and subsidiary.

Order documents from the state of incorporation
Request certified copies of the certificate of incorporation or formation from the state where the company was formed, and assemble the bylaws or operating agreement and the latest financial statements.
- ٠٣
Sign and notarize the corporate approvals
Prepare a board or member resolution approving the Saudi entity and appointing its manager, and a power of attorney for the signatory. These are private documents, so they are notarized before they can be apostilled.
- ٠٤
Apostille each document in the right state
State-issued certificates are apostilled by the issuing state's competent authority, generally its Secretary of State. A notarized document is apostilled by the state in which the notary is commissioned. Federal documents go to the Department of State's Office of Authentications.

Translate into Arabic
MISA says documents filed with it do not need translating, but other ministries may require it, and the Articles of Association are notarized in Arabic. Certified translation runs once the apostilles are back.

Register with MISA, then incorporate
File the MISA application online, typically 2 to 6 weeks to approval with preparation. Then reserve the name, notarize the Articles of Association, issue the Commercial Registration and activate ZATCA, GOSI, Qiwa, Mudad and Muqeem.

Bank account and general manager
Open the corporate account, typically 2 to 4 weeks, and issue the general manager's visa and iqama so the entity has a resident signatory.

Branch, LLC or RHQ: questions that decide it
A Saudi LLC is a separate company under Saudi law with limited liability, and it is what most foreign parents choose. A branch has no separate legal personality: it contracts in the US company's name, and the US company carries its obligations in full. A regional headquarters is for groups running Middle East and North Africa operations, and it sits alongside an operating entity. Work through the questions below with your US advisers before you choose.
| Question | If yes, it points to |
|---|---|
| Do you want Saudi liabilities kept away from the US company? | A Saudi LLC owned by the US company |
| Do Saudi clients or tenders need the US company's own name and track record? | A branch, accepting that the parent carries its obligations |
| Will you sell to Saudi government entities as a multinational? | A regional headquarters, alongside an operating entity |
| Have you won one specific government or semi-government contract? | MISA's temporary registration, which ends with the contract |
| Do you sell through a Saudi agent or distributor you need to support? | A scientific and technical office, limited to supporting your agents, distributors and customers |
Apostilles for US documents: state, not federal, for most corporate papers
The US has been a party to the Hague Apostille Convention since 1981, and the Convention entered into force for Saudi Arabia on 7 December 2022. Between member states, an apostille replaces the old chain of embassy legalization for public documents.
The US has no single apostille office. Public documents issued by a state are apostilled by that state's designated competent authority, generally the Secretary of State's office. The Department of State's Office of Authentications issues apostilles only for documents issued by federal agencies, which a company formation file rarely needs.
The practical consequence: one file can need apostilles from more than one state. If your company is incorporated in Delaware but your board signs and notarizes its resolution in California, the certificate of incorporation is apostilled in Delaware and the notarized resolution in California. Plan who signs where before the documents are drafted.
MISA's Investor Guide still describes the foreign company's registration and financial statements as certified by the Saudi embassy. Apostilled US public documents should not need embassy legalization as well, but we confirm with each receiving authority which form it accepts before you start.
US tax questions to settle before you choose
We do not give US tax advice, and nothing here is. These verified points frame the conversation with your US tax adviser, ideally before the structure is chosen:
- Saudi Arabia does not appear on the IRS list of countries with which the US has an income tax treaty.
- Certain US citizens and residents who are officers, directors or shareholders in certain foreign corporations must file IRS Form 5471.
- A Saudi LLC is a separate company under Saudi law, while a branch is part of the US company. How each is treated for US tax purposes is the question to put to your adviser.
- On the Saudi side, corporate income tax is 20% on the foreign-held share of profit, withholding tax of 5 to 20% applies to certain payments to non-residents, and VAT is 15% above SAR 375,000 in annual taxable supplies.
- A regional headquarters carries 30-year Saudi incentives, including 0% corporate income tax on RHQ activities.
Ownership chains: what the Saudi side asks of a US group
Under MISA's implementing regulations, a company applying to register gives the particulars of its owners, shareholders, controlling persons or ultimate beneficial owners. Saudi banks do the same when they open the account, looking through the immediate shareholder to the people at the top.
Venture-backed and fund-owned US companies feel this most. If your US parent is an LLC with several members, or sits under a holding company or fund, each layer of the chain needs documents, and each may need its own apostille. Map the chain first, so every layer is notarized and apostilled in one pass.
Working with Alpha from the US
Alpha is based at Salama Tower in Jeddah. We set out the document list for your structure, run the attestation chain from the issuing state through to acceptance by Saudi authorities, and file the formation and government transactions on the official online platforms on your behalf, with your authorization. That is why we can register your company in any Saudi city.
Incorporation can be completed remotely under a power of attorney, so your US officers do not need to travel for the filings. The company does need a resident general manager for the bank account and day-to-day platform approvals. We work in English and Arabic, Sunday to Thursday, 9:00 to 18:00 KSA time, and we are not a law firm.
الأسئلة الشائعة
- Can an American company own 100% of a company in Saudi Arabia?
- Yes, in most sectors. A US company can own 100% of a Saudi company under a MISA investment registration, with no Saudi partner or sponsor. A short negative list of activities carries restrictions or capital conditions, so we confirm your activity before filing.
- Should a US company open a branch or a subsidiary in Saudi Arabia?
- Most choose a subsidiary LLC for its separate legal personality and limited liability. A branch contracts in the US company's name and inherits its track record, but the parent carries unlimited liability for the branch's obligations. The US tax treatment of each option can decide it, so take US tax advice first.
- How do I get a US apostille for documents going to Saudi Arabia?
- State-issued documents, such as a certificate of incorporation, are apostilled by the issuing state's competent authority, generally the Secretary of State. Notarized documents are apostilled by the state where the notary is commissioned. Federal documents go to the US Department of State's Office of Authentications.
- Does Saudi Arabia accept US apostilles?
- Both countries are parties to the Apostille Convention, which entered into force for Saudi Arabia on 7 December 2022, so a US apostille replaces embassy legalization for public documents. MISA's guide still refers to embassy certification, so we confirm the accepted form with each authority before you start. Arabic translation is still needed for most filings outside MISA.
- Is there a tax treaty between the US and Saudi Arabia?
- Saudi Arabia is not on the IRS list of countries with which the US has an income tax treaty. US owners of a foreign company may also have IRS reporting obligations, such as Form 5471. Your US tax adviser should review the structure before you file.
- Do US companies need an RHQ for Saudi government contracts?
- Multinationals bidding for Saudi government work need a regional headquarters license; since 2024, government entities are directed to contract only with multinationals holding a Saudi RHQ. The RHQ runs alongside, not instead of, your operating entity.
- How long does it take a US company to set up in Saudi Arabia?
- The MISA stage typically takes 2 to 6 weeks for a complete application, and the full sequence through to a bank account is typically 4 to 12 weeks. State apostilles and bank onboarding are the usual variables.
- Can a US company set up in Saudi Arabia without anyone traveling?
- Yes, for the filings. Incorporation can be completed remotely under a power of attorney. The company does need a resident general manager for bank account opening and day-to-day platform approvals, so most clients issue the general manager's visa during setup.
- What does it cost a US company to set up in Saudi Arabia?
- It depends on the license type, legal form, premises and headcount, plus US-side notary and apostille costs. Our cost estimator gives a line-by-line starting point, and a consultation turns it into a scoped quote.
